Corporate and Partnership Documents. Administrative Agent shall have received the corporate and partnership formation and other governing documents of the Borrower and the REIT, and a certificate of each such entity's Secretary or an officer comparable thereto with respect to authorization, incumbency and all organizational documents.

Agent shall have received the corporate and partnership formation and other governing documents of the Borrower and the REIT, and a certificate of each such entity's Secretary or an officer comparable thereto with respect to authorization, incumbency and all organizational documents.
Corporate and Partnership Documents. Agent shall have received the corporate and partnership documents with respect to Borrower, the REIT and each Guarantor Subpartnership (and corporate general partner thereof) as listed on the Closing Checklist, including a certificate of each such entity's Secretary or an officer comparable thereto (a "Secretary's Certificate") with respect to authorization, incumbency and all organizational documents.
Corporate and Partnership Documents. Agent shall have received the following corporate and partnership documents:
(i) With respect to Borrower: a certified copy of Borrower's limited partnership agreement; a certified copy of Borrower's Certificate of Limited Partnership; a certificate of existence for Borrower from the State of Illinois; and a certificate of Borrower's Secretary or an officer comparable thereto (a "Secretary's Certificate") with respect to Borrower pertaining to authorization, incumbency and by-laws, if any; and
(ii) With respect to the REIT: certified copies of the REIT's certificate of incorporation and by-laws; a good standing certificate of the REIT from the State of Maryland; and a Secretary's Certificate with respect to the REIT pertaining to authorization, incumbency and by-laws.
Corporate and Partnership Documents. Agent shall have received the following corporate and partnership documents, together with all amendments and modifications thereto:
(1) with respect to Borrower: a certified copy of Borrower's limited partnership agreement, a certified copy of Borrower's Certificate of Limited Partnership; and good standing certificates for Borrower from the State of Delaware and each state where it is qualified to do business;
(2) with respect to the REIT: certified copies of the REIT's articles or certificate of incorporation and by-laws; and good standing certificates from the State of Maryland and each state where it is qualified to do business;.
(3) with respect to Paragon GP Holdings: certified copies of Paragon GP Holdings' articles or certificate of incorporation and by-laws; and good standing certificates from the State of Delaware and each state where it is qualified to do business; and
(4) with respect to Paragon LP Holdings: certified copies of Paragon LP Holdings' articles or certificate of incorporation and by-laws; and good standing certificates from the State of Delaware and each state where it is qualified to do business.
Corporate and Partnership Documents. Borrowers shall deliver to Lender the following documents:
(i) if a Borrower is a general partnership, the joint venture agreement of each Borrower and all amendments thereof, certified by the appropriate official of the State of its formation (if applicable), together with a certificate of such official to the effect that such entity is in good standing therein (if applicable),
(ii) if a Borrower is a general partnership, a good standing certificate from the Secretary of the state of its incorporation for Borrowers' general partners,
(iii) articles of incorporation and by-laws of Borrowers or Borrowers' general partners certified by the Secretary of such corporation,
(iv) an incumbency certificate specifying by name and title the officers and directors of the Borrowers, certified by the Secretary of such corporation, and
(v) certified resolutions of the shareholders or general partners and the Board of Directors of Borrowers authorizing the execution and delivery of this Agreement, the Mortgage, Note, and all other documents necessary or desirable, for the consummation of the transactions contemplated by this Agreement.
Corporate and Partnership Documents. The Stockholders have prior to the execution of this Agreement delivered to Purchaser true and complete copies of the certificate of incorporation and by-laws of the Company and the General Partner as in effect on the date hereof. The Partners have prior to the execution of this Agreement delivered to Purchaser true and complete copies of the certificate of limited partnership and partnership agreement of the JGW Partnership and the MF Partnership, each as in effect on the date hereof. The General Partner, as the general partner of the JGW Partnership and the MF Partnership, has at all times acted in compliance with such partnership agreements and has not breached any obligations applicable to it under or in connection with the partnership agreements, and none of the General Partner, the JGW Partnership or the MF Partnership has taken any action that is not authorized by such partnership agreements.

Certified copies of the Partnership Agreement and of the charter and by-laws (or equivalent documents) of each Credit Party, and of all partnership and corporate authority for the Credit Parties (including, without limitation, board of director resolutions and evidence of the incumbency, including specimen signatures, of officers for such Credit Parties) with respect to the execution, delivery and performance of such of the Transaction Documents to which such Credit Party is intended to be a party and each other document to be delivered by such Credit Party from time to time in connection herewith and the extensions of credit hereunder (and the Administrative Agent and each Lender may conclusively rely on such certificate until it receives notice in writing from the General Partner or such Credit Party to the contrary).
