Corporate Documents, etc. The copies of the Certificate of Incorporation and By-Laws of Company, including any amendments thereto, all of which have been heretofore delivered by Shareholders to Buyer, are true, correct and complete copies of such instruments as presently in effect. The corporate minute book and stock records of Company which will be furnished to Buyer for inspection, are true, correct and complete and accurately reflect all material corporate action taken by Company.

Corporate Documents, etc. The certified copies of the Articles of Association and Memorandum of Association of the Company, including any amendments thereto, have been delivered by Shareholder to Buyer, and are true, correct and complete copies of such instruments as presently in effect.
