Corporate Proceedings; Consents; Etc. All corporate and other proceedings to be taken and all waivers and consents to be obtained in connection with the transactions contemplated by this Agreement and the Stockholders' Agreement shall have been taken or obtained and all documents incident thereto shall be satisfactory in form and substance to the Investor and to its counsel and each of the Investors shall have received all such originals or certified or other copies of such documents it may reasonably have requested.
