Cost Reductions Sample Clauses
Cost Reductions. During the term of this Contract, any price decrease the Contractor receives from its suppliers shall be reflected in a reduction of the prices in this Contract and effective as of the date of the supplier’s decrease. In the event during the term of this Contract, the Contractor enters into lower pricing agreements with a customer with similar usage quantities, the Contractor shall promptly notify the City and offer such lower pricing to the City. Seattle will not be bound by prices contained in an invoice that are higher than those in the contract. Unless the higher price has been accepted by the City and the contract amended, the invoice may be rejected and returned to the Contractor for corrections.
Cost Reductions. Any cost reductions to the Vendor, such as rebates or “specials”, shall be reflected in a reduction of the contract price effective immediately. Cost Reductions. Supplier shall provide to Control4 regular cost reductions to occur semi-annually from the date of execution of this Agreement or as mutually agreed between the Parties in writing. Such reductions may be either through manufacturing efficiency gains, through component pricing improvements or through cost reductions, so long as any component changes are approved by Control4 in advance and in writing.
Cost Reductions. (i) The parties agree to engage in annual price negotiations with respect to the Products.
(ii) Seller will provide Buyer with new Products at no charge that Buyer needs for use as demonstration units during the six (6) month period following Buyer’s launch of a new Product.

To the extent permitted by law, Oji agrees to study, together with VCP, manners in which to optimize production and reduce manufacturing costs, for example, by developing alternative production processes and/or by introducing VCP to alternative suppliers of raw materials (including chemicals). Oji shall not be responsible or liable for any failure to optimize production, reduce manufacturing costs, develop alternative production processes or introduce VCP to alternative suppliers of raw materials, and any such failure shall not be construed as a breach of this Agreement by Oji.
Cost Reductions. SELLER shall provide on an as requested basis to BUYER, cost data that provide visibility to cost reduction projects for the LCD Assembly. To the extent that SELLER’s per unit production costs decline at any point during the Term of this Agreement, such cost savings shall be passed on to BUYER in the form of a reduction in the per unit purchase price. To the extent that the SELLER’s per unit production costs decline at any point during the term of this Agreement as a result of manufacturing cost-savings improvements, such cost savings shall be passed on to BUYER in the form of a reduction in the per unit purchase price. To the extent that Seller’s per unit production costs decline at any point during the term of this agreement as a result of quality cost savings improvements, such cost savings shall be passed on to BUYER in the form of a reduction in the per unit purchase price.
Cost Reductions. It is agreed and acknowledged that the pricing shall be calculated as described in Exhibit A to this Agreement and the JVC will work in good faith to achieve cost reductions on all materials and manufacturing process costs. The JVC will provide to Buyer an anticipated twelve (12) month cost reduction plan on a monthly basis. Allocation of costs savings shall be as follows:
Cost Reductions. Solectron will continue throughout the term of this Agreement to reduce costs for all Products and Parts. All cost reductions will be shared in accordance with Exhibit B.
Cost Reductions. Supplier will work actively to achieve cost reductions on all (i) material (except for Sun-Controlled Turnkey Components (defined below) which are exempted from the cost reduction calculations) and (ii) Supplier processing costs (including costs associated with assembly and test). Supplier will provide to Sun an anticipated six (6) quarter cost reduction profile on a quarterly basis. Material cost savings on all non Sun-Controlled Turnkey Components developed by Supplier and accepted by Sun will be retained by the Supplier for the current quarter achieved; thereafter, the savings will be passed on to Sun. Value engineered (“VE”) cost savings developed by Supplier and accepted by Sun will be retained by Supplier for the current quarter achieved, plus one (1) succeeding quarter; thereafter, the savings will be passed on to Sun. VE cost savings developed by Sun will be passed on to Sun immediately upon implementation. In the event that VE cost savings are jointly developed by Sun and Supplier, the parties will negotiate in good faith whether the savings will be (a) passed on to Sun immediately, or (b) retained in whole by Supplier for the current quarter achieved, plus one (1) succeeding quarter, and thereafter the savings will be passed on to Sun. Supplier shall pass one hundred percent (100%) of the cost reductions in Sun-Controlled Turnkey Components on to Sun as soon as possible after the effective date of such cost reductions, on a forward looking, weighted average basis. “Turnkey Components” means those components purchased by Supplier only in accordance with Sun’s Approved Vendor Listing (“AVL”), as may be amended from time to time by Sun, unless otherwise authorized by Sun. “Sun-Controled Turnkey Components” means those Turnkey Components which Supplier purchases and for which Sun establishes the pricing with the applicable supplier(s).
