Costs; Payments. Each Party shall be responsible for its own costs, charges and expenses (including Tax) incurred in connection with negotiating, preparing and implementing this Agreement and the transactions contemplated by it.

b. EOS will invoice Districts starting the weeks of August 15 and January 15 of each school year of the Collaboration. Each invoice will be for 50% of the total due in the specified school year. The District shall promptly pay such invoiced costs in accordance with the instructions on the applicable invoice.

4.1. The Customer shall pay the fees at the rates set by the Company from time to time. Information about the Company current rates can be found on the Company website.
4.2. The Company reserves the right to change unilaterally the rates of the relevant fees, charges, and the conditions of trading in financial instruments without any notice to its Customers.
4.3. The Customer shall fully agree to other potential costs and fees besides the costs and fees paid through the Company and charged by the Company.
Costs; Payments a. The total cost for services provided by Auction Frogs will be the amount quoted under Fees and Payment for the Purchased Services.
1. Applicability
a. These Terms and Conditions are the only terms that govern this Agreement.
b. The accompanying Auction Frogs’ Privacy Policy, Master Service Agreement, and these Terms and Conditions (collectively, this “Agreement”) comprise the entire agreement between the parties and supersede all prior or contemporaneous understandings, agreements, negotiations, representations, warranties, and communications, both written and oral.
c. These Terms prevail over any of Client’s general terms and conditions regardless of whether or when Client has submitted its request for proposal, order, or such terms. Provision of services to Client does not constitute acceptance of any of Client’s terms and conditions and does not serve to modify or amend these Terms.

Costs; Payments a. The District shall pay EOS as follows: Participating High Schools Cost Per School Franklin High School $27,000
b. Payment to EOS is due in the following intervals: Fifty percent by August 15, 2018, and the remaining 50% by January 15, 2019.
c. EOS will xxxx the District for the portion of travel costs attributable to this Collaboration. EOS Partnership Directors typically visit the District and school sites 5-10 times over the course of the school year (flexible according to circumstances). EOS travels cost-consciously (at or below federal standards), and the cost of one EOS trip is often spread across multiple districts within a region. EOS’s Director of Finance and Administration, Xxxxx Xxxx (xxxxx@xxxxxxxxx.xxx), will coordinate all accounting matters and expense reimbursements.
d. Except as otherwise expressly set forth in this Agreement, each party will bear its own costs and expenses, including costs for staff time and technology maintenance, in connection with the activities to be performed under this Agreement.
Costs; Payments. A. DepoMed agrees to use diligent efforts to complete the Research Plan within the estimated cost figures provided in the Research Plan. However, PRI acknowledges that the actual costs may exceed the estimates. DepoMed will invoice PRI on a monthly basis for work completed on the Research Plan, and PRI agrees to pay such invoices within 45 days.
B. PRI and DepoMed understand that developments, unforeseen circumstances beyond the reasonable control of DepoMed or changes in the scope of the Research or DepoMed's responsibilities for the Research may increase the funding requirements for the Research. In such event, PRI and DepoMed agree to discuss appropriate revisions in the Research Plan and estimated costs for further work under the Research Plan.
C. PRI is under no obligation to make payments to DepoMed or to agree to funding increases beyond the amount set forth in Appendix A.
D. DepoMed will maintain complete and accurate records which are relevant to its execution of the Research Plan. DepoMed shall maintain such records, including raw data, in good order. Such records shall be open during regular business hours upon reasonable notice for a period of two (2) years from creation of individual records for examination at PRI's expense.
