Covenant to Cooperate. Seller, Servicer, Parent, UPAC, the Agent and Purchaser covenant to provide each other with all data and information required to be provided by them hereunder at the times required hereunder, and additionally covenant to reasonably cooperate with each other in providing any additional information required by any of them in connection with their respective duties hereunder.
Covenant to Cooperate. During the first two years of the Non-Compete Period, Executive agrees to (a) assist OLB and the Bank with any questions and concerns, and provide any advice upon request, regarding the Merger, or the business, operations, target market, personnel matters, vendors, service, or customers of MDBC or Maryland Bank & Trust Company, N.A. prior to the Merger, and (b) fully cooperate with OLB and the Bank to provide for a smooth transition period following the Merger.
Covenant to Cooperate. The Borrower agrees to use its reasonable efforts to cooperate in all material respects with the Managing Agent in the operation of the Property.
Covenant to Cooperate. In addition to affirming Executive’s obligations under the Employment Agreement, Executive represents, warrants and agrees that, upon request by the Company following reasonable notice, he shall appear to testify at a mutually agreed time and place, and testify fully and truthfully, at any deposition, trial, mediation, arbitration or other similar proceeding in which the Company is a party. In the event the Company requests, pursuant to the provisions of this section, that Executive travel to any location for the purpose of participating in a deposition, trial, mediation, arbitration or other similar proceeding, then the Company shall reimburse Executive for all reasonable out-of-pocket expenses he incurs for food, lodging and travel, upon presentation of receipts evidencing such expenses. From and after the expiration of the Executive’s obligations under paragraph 24 of the Employment Agreement, the Company shall compensate Executive for his time devoted as requested by the Company under this paragraph at the hourly rate of $250 and at a per diem rate of $2,000. In addition, Executive further represents, warrants and agrees that he shall cooperate with the Company in regard to any claims threatened or made against the Company, as well as in regard to investigations, whether conducted by the Company or by a governmental agency, with respect to matters as to which the Company reasonably believes Executive to possess relevant knowledge or information. As part of this cooperation, Executive shall be available on reasonable notice to be interviewed by counsel for the Company and to respond in a reasonably prompt manner to all reasonable inquiries (including telephonic and written inquiries) for information or records in his possession, custody or control pertaining to any such matters. Executive agrees to be truthful and cooperative in any such interview and in responding to any such inquiry.
Covenant to Cooperate. The parties presently contemplate the construction of sidewalks upon the subject parkways. However, OWNER covenants that it shall cooperate with the COUNTY should COUNTY determine that it is necessary, at a later time, to require improvements upon any of the Parkways. This covenant of cooperation includes but is not limited to removing or relocating, at COUNTY option, all or part of the landscaping and/or the irrigation system for the purpose of accommodating the construction of improvements.
Covenant to Cooperate. The District covenants to the County that it shall cooperate with the County in accomplishing the District's Projects. The District shall make its personnel, including but not limited to its Public Works Department staff, available to the County at reasonable times and upon reasonable advance notice, for purposes of facilitating the County's performance of the Services.
Covenant to Cooperate. The parties intend to cooperate with one another with respect to the collection of Seller's accounts receivable in order to avoid duplication of effort and preserve valuable customer relationships. Towards that end, Seller will comply with all reasonable requests made by Buyer as to all aspects of the collection of such accounts receivable.
Covenant to Cooperate. Mx. Xxxxxx hereby acknowledges that a partial consideration for the benefits he will receive pursuant to this Agreement and an inducement for Employer to enter into this Agreement is Mx. Xxxxxx’x agreement to cooperate with Employer during his employment and following his employment separation as follows:
A. If reasonably requested by Employer, Mx. Xxxxxx will cooperate with Employer in the defense or prosecution of one or more existing or future court actions, governmental investigations, arbitrations, mediations or other legal or equitable proceedings which involve Employer or any of its current or former employees, officers or directors. This cooperation may include, but shall not be limited to, the availability to provide testimony in deposition, affidavit, trial, mediation or arbitration, as well as preparation for that testimony. Mx. Xxxxxx acknowledges that he shall make himself available at Employer’s reasonable request for any meetings or conferences Employer deems necessary in preparation for the defense or prosecution of any such legal proceedings. If Employer requests Mx. Xxxxxx to travel or travel is otherwise required in conjunction with Mx. Xxxxxx’x providing assistance to Employer pursuant to this provision, Employer will reimburse or pay for Mx. Xxxxxx’x necessary and reasonable travel expenses. Initials -4- Date
B. Mx. Xxxxxx also agrees to assist and cooperate with Employer in the orderly transition of the Southeast Region from his management to his successor and to be available as reasonably may be needed to complete the transition in an orderly and professional manner.
C. To faithfully and loyally perform his regular job duties as required until his employment Separation Date.
Covenant to Cooperate. The parties shall cooperate with one another with respect to the collection of Seller's accounts receivable in order to avoid duplication of effort and preserve valuable customer relationships and shall cooperate with one another to xxxxxx continuity in the Business and preserve valuable vendor relationships. Seller shall reasonably cooperate with Buyer in the preparation of an accounting audit of the facility and preparation of a 1998 income statement post-closing. Buyer shall pay the cost of the audit and preparation upon Buyer's request of the income statement, but Seller shall provide its cooperation at no cost to Buyer.
Covenant to Cooperate. OWNER covenants that it shall cooperate with the COUNTY should COUNTY determine that it is necessary, at a later time, to perform any work in the Parkways. This covenant of cooperation includes but is not limited to removing or relocating, at COUNTY option, all or part of the landscaping and/or the irrigation system for the purpose of accommodating the construction.
