Covenants by Licensee. Licensee covenants with Licensor:
(a) to assist and co-operate with Licensor to the extent requested by Licensor in the protection of Licensor’s Intellectual Property Rights, including the execution of any document to confirm Licensor’s title to and interest in the Technology and the assignment of any rights to or ownership interest in the Technology that it may have acquired from Licensor;
(b) to take no steps either directly or indirectly to claim or dispute ownership or the enforceability or validity of Licensor’s Intellectual Property Rights or the right of Licensor to grant the rights herein;
(c) to promptly notify Licensor of any infringements or imitations by others of the Technology when such becomes known to Licensee and to co-operate with Licensor in enforcing Licensor’s Intellectual Property Rights against the infringer or imitator; provided however, that Licensee shall not institute any suit or take any action on account of any such infringements or imitations without Licensor’s prior written consent; and
(d) to promptly notify Licensor of the failure of any Customer Licensee to abide by any and all of the terms of the relevant Customer Contracts that becomes known to Licensee; provided however, that Licensee shall not institute any suit or take any action on account of such failure without Licensor’s prior written consent.

Licensee covenants that any products, services, or content published and distributed on Licensee’s Store and Licensee’s related activities shall not violate the DYNAMIC EXECUTION PVT LTD Acceptable Use Policy that is incorporated herein by reference and as it may be amended from time to time, nor shall they:
Covenants by Licensee. 2.1 DAMAGE TO LICENCED AREA, BUILDING, COMMON PROPERTY AND/OR LICENSOR’S FIXTURES & FITTINGS
Covenants by Licensee. Licensee covenants that any products, services, or content published and distributed on Licensee’s Store and Licensee’s related activities shall not violate the GIPL Acceptable Use Policy that is incorporated herein by reference and as it may be amended from time to time, nor shall they:

a. That at all times the Boat is or may be used or docked at the Dock Space it shall be used solely for pleasure by Licensee or their immediate family (accompanied by Licensee) and will not be used in any commercial activity or undertaking. Licensees shall not use the Dock Space for sunbathing or picnicking purposes.
b. Licensee will not store or leave any gear, equipment, materials or property of an nature on floats, landings or other of the Licensor other than the docking of ONE boat or watercraft per Dock Space leased
c. Licensee will comply with all applicable rules, regulations and instructions of Licensor and Xxxx Xxxx
d. Licensee agrees that at all times the Boat is docked at the Dock Space, it will be safely and properly secured in a manner acceptable to Licensor: to wit: The Boat shall not be tied off or attached in any manner to the dock. Licensee shall tie off and attach the Boat to properly and securely installed augers, such augers being the property of, and supplied by, the Licensee;
e. Xxxxxxxx agrees and acknowledges that the Licensor has no duties or care with respect to the Boat and that his Agreement does not create a bailment. The use of the Dock Space, any surrounding docking facilities and the lake is solely and completely at the risk of the Licensee: Licensee further acknowledges that there is no lifeguard on duty, that swimming is at its own risk and the Licensee is solely responsible for the action of their children or children of guests;
f. Licensee agrees that any and all damage to the Dock Space or docks owned by the Licensor as a result of insufficient or improper mooring of the Boat, or otherwise resulting from the acts or omissions of Licensee or its guests, shall be the financial responsibility and liability of the Licensee; this includes damage to other craft as well;
g. Licensee shall not make any alterations, modifications, additions or repairs to the Dock Space or to any of the surrounding premises of the Licensor (with the exception of augers placed as specified in the Dock Space diagram sent to Licensee as indication of acceptance of this agreement by Licensor):
h. Licensee agrees not to discharge, or cause of suffering to be discharged, any trash, litter, sewage or other form of pollutant into the lake waters or on the surrounding property of Licensor:

Covenants by Licensee. In consideration of NV assigning the Intellectual Property to the Licensee under clause Error! Reference source not found., the Licensee covenants that it will not (except with NV's prior written consent) directly or indirectly, whether solely or jointly with any other person and whether as principal, agent, director, executive officer, employee, shareholder, partner, financier, joint venturer, adviser, consultant or otherwise:
(a) during the Restraint Period and within the Restraint Area, use the Intellectual Property to carry on or be engaged or involved in any Netball competition; or
(b) counsel, procure or otherwise assist any person to do any of the acts referred to in clause 8.5(a), including selling, assigning or licensing the Intellectual Property to any person to do any of the acts referred to in clause 8.5(a).
Covenants by Licensee. Licensee shall:
(a) use its best efforts to promote sales of the Products and to meet the demand therefor on reasonable terms and at competitive prices;
(b) shall at all times act in a responsible and ethical way in connection with the promotion and sale of the Products;
(c) submit to Boyds reasonable samples of all advertising, labelling and other promotional materials with respect to the Products before utilizing the same;
(d) not publish, cause to be published, encourage or permit any advertising or practice which might deceive the public or might be detrimental to the good name, trademarks, goodwill or reputation of Boyds;
(e) not in any manner (i) pledge the credit of Boyds or (ii) receive any money on behalf of Boyds or (iii) commit Boyds to any obligation or give any representation, warranty or promise on Boyds' behalf;
(f) not sell or make available for sale any of the Products in any place outside of the retail stores owned and operated by Licensee or its subsidiaries or affiliates;
(g) when Boyds' tradenames or trademarks for the Products are used in any advertising, sales material or promotional material relating to the Products, Licensee's use thereof will be in the manner instructed;
(h) immediately and in writing bring to the attention of Boyds any improper or wrongful use of Boyds trademarks or other intellectual or commercial property rights (if any) known to Licensee;
(i) immediately in writing pass to Boyds details of any complaints received from customers of Licensee or others relating to the Products;
(j) supply to Boyds copies of any reports or tests on the Products that come into its possession whether carried out by or for Licensee or by or for its customers;
(k) at all times hereafter save and keep Boyds and its successors and assigns harmless and indemnified against all actions, proceedings, losses, costs, damages, expenses, claims and demands whatsoever arising in any way in connection with (i) any breach by Licensee of this Agreement or (ii) any breach by Licensee of any of Licensee's obligations to any customer of Licensee; and
(l) except as expressly set forth herein, not at any time after the termination of this Agreement represent itself or cause or permit itself to be represented as being in any way a seller or distributor of the Products.
Covenants by Licensee. In consideration of the said rights and privileges the Licensee HEREBY COVENANTS with the Council as follows:-
Covenants by Licensee. 10.3.1. Licensee covenants to Pfizer that it will use commercially reasonable efforts to obtain the financial and commercial capabilities to Develop and Commercialize the Product and to perform its other obligations in accordance with this Agreement.
10.3.2. Licensee covenants to Pfizer that it shall comply with all Applicable Law with respect to the performance of its obligations hereunder.
Covenants by Licensee. Licensee hereby acknowledges that the granting of this License by Inner Arbor Trust, Inc. is in consideration of and strictly conditioned upon the maintenance of the License Area in a clean, orderly, and sanitary condition, as prescribed by Inner Arbor Trust, Inc., in its sole discretion. Licensee shall not make any alterations, changes or modifications to the License Area, including the erection or installation of any signs, markings or use of any equipment or other apparatus, without the prior written consent of Inner Arbor Trust, Inc. Licensee shall not store any property on the License Area. Licensee also shall not permit trash or debris to accumulate or be stored on the License Area in such a way as to become a fire hazard, a nuisance or unsanitary. Licensee shall not do, nor suffer to be done, nor keep nor suffer to be kept, anything in, upon or about the License Area that may contravene the terms of any insurance policies Inner Arbor Trust, Inc., or others on the License Area, may have or that would prevent Inner Arbor Trust, Inc. or others on the License Area from procuring insurance in companies acceptable to Inner Arbor Trust, Inc. at standard rates. Licensee shall be responsible for all crowd management and security during the License period.
