Covenants Other Agreements. Until the Closing Date (unless provided otherwise herein), each of Parent, Acquisition Sub, the Company and the Larger Stockholders (as to Sections 8.26 and 8.27 only) agree that they shall act, or refrain from acting where so required, to comply with the provisions of this Article 8. Unless otherwise specified the term, “Company,” wherever used in this Article 8, refers to the Company and its Subsidiaries.

  • Covenants and Other Agreements Purchaser shall have performed its covenants and agreements herein on or prior to the Closing Date in all material respects.
