Covered Amount Repayable upon expiration of the Notice Period. In the absence of an Event of Default or a Term Cessation Event and subject to Section 8.1, Pershing shall not have the right to require Client to repay the Covered Amount (or any portion thereof) until the expiration of the Notice Period. Upon the expiration of the Notice Period, Pershing may upon five Business Daysprior written notice (i) require Client to repay any outstanding Net Debit Balance, (ii) modify the Margin Methodology, and (iii) adjust the rates, fees and charges applicable to Client.
