Covered Parties. (a) Schedule 4.28 sets forth the full legal name and jurisdiction of incorporation or organization of each Covered Party and, as to each such Covered Subsidiary, the percentage of each class of equity interests owned by the Borrower or any Covered Party and (b) there are no outstanding subscriptions, options, warrants, calls, rights or other agreements or commitments (other than, in respect of the Borrower only, stock options granted to employees or directors and directorsqualifying shares) of any nature relating to any equity interests of the Borrower or any other Covered Party, except as permitted by the Loan Documents.

Covered Parties. The duties to mediate and arbitrate shall extend to any director, officer, employee, shareholder, principal agent, trustee in bankruptcy or otherwise, affiliate, subsidiary, third-party beneficiary, or guarantor of a party making or defending a claim that would otherwise be subject to this Section. Unless the context otherwise requires, references to party or parties within this Section shall include the foregoing persons, provided, however, that the specific provisions regarding the allocation of costs in paragraph (ii).B. shall not preclude any rights to indemnification, reimbursement, contribution or other similar benefits held by the foregoing persons.

Covered Parties. This Section 14(b) is intended to benefit and may be enforced by or against: (A) Customer, Neuronetics, and each of their parents, subsidiaries, affiliates, successors, and assigns, and the employees, officers, directors, and controlling persons of all such companies; and (B) any other person or company (including to any Provider) who provides any Product or Service in connection with this Agreement if a Dispute is asserted against such other person or company at the same time a Dispute is asserted against Customer, Neuronetics, or any of the other persons or companies specified in this Section 14(b)(iii).
