Currency Exchange. All payments under this Agreement shall be payable, in full, in Dollars, regardless of the country(ies) in which sales are made. For the purposes of computing Net Sales of Licensed Products that are sold in a currency other than Dollars, such currency shall be converted into Dollars as calculated at the rate of exchange for the pertinent quarter or year to date, as the case may be, as used by Celgene in producing its quarterly and annual accounts, as confirmed by their respective auditors.
Currency Exchange. With reference to point 17.2 of the general terms the following applies outside the Nordic Countries. Transactions in another currency than the selected currency of the account are converted into the selected currency. The exchange rate shall consist of a reference exchange rate, which Eurocard receives from Mastercard, applicable on the date on which the transaction reaches Mastercard, in addition to a currency exchange supplement as specified in the pricelist. Another currency exchange rate may exceptionally apply. The account holder shall be liable for any currency risk during the period from the purchase until the transaction is handled by Mastercard. The reference exchange rate, which will alter continually, shall be provided by Eurocard at the account holder’s request. With regard to transactions that have been made in another currency, the account holder may be given the opportunity by the merchant to authorise the transaction with the merchant in the selected currency. In such a situation, the account holder shall be aware that the amount authorised is the amount that will be posted to the account. Eurocard has no knowledge of and shall not be liable for the conversion that is performed into the selected currency. Please note that the exchange rate that is applied is often a less favorable rate than the one Eurocard would apply to the same transaction.
Currency Exchange. The Company’s then current standard exchange rate methodology will be employed for the translation of foreign currency sales into Dollars, provided such methodology is used by the Company in the translation of its foreign currency operating results, is consistent with GAAP, and is audited by the Company’s independent certified public accountants in connection with the audit of the consolidated financial statements of Company, and is used for the Company’s external reporting of foreign currency operating results.
Currency Exchange. Transactions in another currency than the domestic currency of the domicile of the account holder (“Domestic currency”) are converted into the domestic currency at the exchange rate applied by Eurocard. The exchange rate shall be comprised of an exchange rate which Eurocard receives from Mastercard, applicable on the date when the purchase is made or the date on which the transaction reaches Eurocard, plus to a currency exchange supplement as specified in the Price Appendix (please see the section below). The account holder shall be liable for any currency risk during the period from the purchase or cash withdrawal until the transaction is received by Eurocard in case the exchange rate on the date on which the transaction reaches Eurocard applies. This shall also apply to purchases and cash withdrawals in the domestic country of the domicile of the account holder in a currency other than the Domestic currency. In order to facilitate a comparison of different companies' currency exchange charges for EEA currencies within the EEA, Eurocard also daily presents Eurocard’s currency exchange charges in relation to the European Central Bank’s (ECB) reference exchange rates. This information can be found e.g. on the website and in the Eurocard-app. The exchange rate for a given transaction shall be provided by Eurocard at the account holder’s request. With regard to transactions that have been made in another currency than the Domestic currency, the cardholder may be given the opportunity to authorise the transaction with the merchant in the Domestic currency. In such a situation, the account holder shall be aware that the amount authorised in the Domestic currency is the amount that will be posted on the account, and that Eurocard has no knowledge of and shall not be liable for the conversion that is performed into the Domestic currency and that the exchange rate that is applied may not be the same as that which Eurocard would apply to the same transaction.
Currency Exchange. For purposes of any determination under this Agreement measured in Dollars, all amounts incurred, outstanding or proposed to be incurred or outstanding in currencies other than Dollars shall be translated into Dollars at the spot rate for the purchase of Dollars for the applicable foreign currency as published in The Wall Street Journal in the “Exchange Rates” column under the heading “Currency Trading” or as made available by any other source reasonably acceptable to the Agent on the date of such determination; provided, however, that (a) for purposes of determining compliance with respect to the amount of any Indebtedness, Transfer, Investment, transaction permitted by Section 7.7 or judgment in a currency other than Dollars, no default or Event of Default shall be deemed to have occurred as a result of changes in rates of exchange occurring after the time such Indebtedness is incurred, or asset disposition, Investment or transaction permitted by Section 7.7 is made, or such judgment entered, and (b) notwithstanding anything herein to the contrary, nothing in this paragraph changes, modifies or alters the obligations of any Loan Party to pay all amounts owed hereunder in the Dollar amount required hereunder notwithstanding any changes or other fluctuations with respect to any currency exchanged into Dollars.
Currency Exchange. If, in determining whether the Holders of the requisite principal amount of Securities have given any request, demand, authorization, direction, notice, consent or waiver hereunder, it becomes necessary to determine the principal amount of Securities of any series denominated in any coin or currency other than that of the United States of America, such principal amount shall be computed by converting such coin or currency into coin or currency of the United States of America based upon the rate of exchange in effect at the office of the Trustee for such Securities in New York, New York at 10:00 A.M., New York City time, or as close to such time as is reasonably practicable, on the date of initial issuance of such series of Securities.
Currency Exchange. With respect to sales of Products invoiced in U.S. Dollars and other amounts received or paid by Ikaria, its Affiliates or Licensees in U.S. Dollars, such amounts and the amounts payable hereunder shall be expressed in U.S. Dollars. With respect to sales of Products invoiced in a currency other than U.S. Dollars and other amounts received or paid by Ikaria, its Affiliates or Licensees in a currency other than U.S. Dollars, such amounts and the amounts payable hereunder shall be expressed in their U.S. Dollar equivalent calculated using the applicable rate of exchange reported by The Wall Street Journal (Eastern U.S. edition) on the last Business Day of the calendar quarter to which the report under Section 4.3(a) relates. All payments hereunder shall be made in U.S. Dollars.
Currency Exchange. With respect to Net Sales invoiced in Dollars, the Net Sales and the amounts due to BMS hereunder shall be expressed in Dollars. With respect to Net Sales invoiced in a currency other than Dollars, the Net Sales shall be expressed in the domestic currency of the entity making the sale, together with the Dollar equivalent, calculated using the arithmetic average of the spot rates on the close of business on the last Business Day of each month of the Calendar Quarter in which the Net Sales were made. The “closing mid-point rates” found in the “dollar spot forward against the dollar” table published by The Financial Times or any other publication as agreed to by the Parties shall be used as the source of spot rates to calculate the average as defined in the preceding sentence. All payments shall be made in Dollars.
Currency Exchange. CONTRACTOR's books for Exploration and Operating Company's books for Development and Exploration, if any, shall be kept in the A.R.E. in U.S. Dollars. All U.S. Dollars expenditures shall be charged in the amount expended. All Egyptian Pounds expenditures shall be converted to U.S. Dollars at the applicable rate of exchange issued by the Central Bank of Egypt on the first day of the month in which expenditures are recorded, and all other non-U.S. Dollars expenditures shall be translated to U.S. Dollars at the buying rate of exchange for such currency as quoted by National Westminster Bank Limited, London at 10.30 a.m. G.M.T., on the first day of the month in which expenditures are recorded. A record shall be kept of the exchange rates used in translating Egyptian Pounds or other non-U.S. Dollars expenditures to U.S. Dollars.
Currency Exchange. The gain or loss, if any, through currency translation or exchange pursuant to the provisions of Article 21 of this Contract and Article 1.3(f) of this Accounting Procedure.
