Common use of Custodial Duties Requiring Instructions Clause in Contracts

Custodial Duties Requiring Instructions. The Custodian shall carry out the following actions only upon receipt of and in accordance with specific instructions: (i) make payment for and/or receive any Property or deliver or dispose of any Property except as otherwise specifically provided in this Agreement; (ii) deal with rights, conversions, options, warrants and other similar interests or any other discretionary right in connection with the Property; and (iii) carry out any action affecting the Property or the Custody Account or Cash Account other than those specified in Section 5(A) above, but in each instance subject to the agreement of the Custodian.

The Custodian shall carry out the following actions only upon receipt of and in accordance with specific instructions: Instructions: (i) make payment for and/or receive any Property Securities or deliver or dispose of any Property Securities except as otherwise specifically provided for in this Agreement; ; (ii) deal with rights, conversions, options, warrants and other similar interests or any other discretionary corporate action or discretionary right in connection with the PropertySecurities; and and (iii) except as otherwise provided in this Agreement, carry out any action affecting the Property Securities or the relevant Custody Account or Cash Account other than those specified in Section 5(A) above, but in each instance subject to the agreement of the CustodianAccount.

The Custodian shall will carry out any of the following actions only upon receipt of and specific Proper Instructions, delivered in accordance with specific instructionsSection 5, authorizing and requesting same: (ia) make payment for and/or receive any Property Receive or deliver or dispose of any Property Assets, except as otherwise specifically provided for in this Agreement; (ii) deal with rights, conversions, options, warrants and other similar interests or any other discretionary right in connection with the Property; and (iiib) carry Carry out any action affecting the Property Assets or the Custody Account or Cash Account Account(s), other than those specified in Section 5(A) above6.2 below; provided, but in however, that each instance will be subject to the prior approval and agreement of the Custodian.
