Customer Acknowledgment. Xxxxxx Xxxxxxx will not be liable for a breach of this Agreement if a third-party gains access to Toppan Xxxxxxx’x proprietary Website(s) or databases as long as Xxxxxx Xxxxxxx uses commercially reasonable measures to protect them from unlawful access and is otherwise complying with its obligations under this Agreement.
Customer Acknowledgment. Customer acknowledges and certifies that they have had a sufficient opportunity to read this entire Agreement, and agree to be bound by all the terms and conditions on all pages and that they understand its content and that they execute it freely, intelligently and without duress of any kind.

Customer Acknowledgment. Customer acknowledges that in connection with all foreign exchange transactions entered into by Customer (or its Investment Manager acting on its behalf) with SSGM or any sub-custodian, SSGM and each such sub-custodian:
(i) shall be acting in a principal capacity and not as broker, agent or fiduciary to Customer or its Investment Manager;
(ii) shall seek to profit from such foreign exchange transactions, and are entitled to retain and not disclose any such profit to Customer or its Investment Manager; and
(iii) shall enter into such foreign exchange transactions pursuant to the terms and conditions, including pricing or pricing methodology, (a) agreed with Customer or its Investment Manager from time to time or (b) in the case of an indirect foreign exchange service, (i) as established by SSGM and set forth in the Client Publications with respect to the particular foreign exchange execution services selected by Customer or the Investment Manager or (ii) as established by the sub-custodian from time to time.
Customer Acknowledgment. You are aware that PromptSmart is a state-of-the-art software program, and that as such it is not possible to develop it in such a way that is free of errors in all use-cases, for all customers, and under all possible hardware permutations. Xxxxxxx provides no guarantee of feasibility for any particular purpose.
Customer Acknowledgment. Customer acknowledges and agrees that Microsoft may collect, use, transfer, disclose and otherwise process Customer Data, including personal data, as described in the Microsoft Terms. Microsoft may send direct communications to Customer related to the Microsoft Terms or the operation or delivery of the Products.
Customer Acknowledgment. Customer acknowledges that, prior to accepting of this Agreement, it has had an opportunity to determine for itself the characteristics and capabilities of the Licensed Programs and is satisfied that the Licensed Programs fulfill Customer's requirements.

BY LOGGING INTO INWOOD NATIONAL BANK'S INTERNET BANKING SYSTEM, I CONFIRM THAT I HAVE READ AND AGREE TO ALL OF THE TERMS SET FORTH IN EACH CASH MANAGEMENT SERVICES AGREEMENT APPLICABLE TO MY ACCOUNTS. I FURTHER CONFIRM THAT OUR USE OF THE SERVICES AND CONTENT IS ENTIRELY AT OUR OWN RISK. EXCEPT AS DESCRIBED IN THIS AGREEMENT, THE SERVICES ARE PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INWOOD NATIONAL BANK, AND ITS THIRD PARTY SERVICE OR DATA PROVIDERS, LICENSORS, DISTRIBUTORS OR SUPPLIERS (COLLECTIVELY REFERRED TO AS, "SUPPLIERS") DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY THAT THE SERVICES ARE FIT FOR A PARTICULAR PURPOSE, TITLE, MERCHANTABILITY, DATA LOSS, NON-INTERFERENCE WITH OR NON-INFRINGEMENT OF ANY INTELLECTUAL PROPERTY RIGHTS, OR THE ACCURACY, RELIABILITY, QUALITY OR CONTENT IN OR LINKED TO THE SERVICES. INWOOD NATIONAL BANK AND ITS SUPPLIERS DO NOT WARRANT THAT THE SERVICES ARE SECURE, FREE FROM BUGS, VIRUSES, INTERRUPTION, ERRORS, THEFT OR DESTRUCTION. IF THE EXCLUSIONS FOR IMPLIED WARRANTIES DO NOT APPLY TO YOU, ANY IMPLIED WARRANTIES ARE LIMITED TO 60 DAYS FROM THE DATE OF PURCHASE OR DELIVERY OF THE SERVICES, WHICHEVER IS SOONER. INWOOD NATIONAL BANK AND ITS SUPPLIERS DISCLAIM ANY REPRESENTATIONS OR WARRANTIES THAT YOUR USE OF THE SERVICES WILL SATISFY OR ENSURE COMPLIANCE WITH ANY LEGAL OBLIGATIONS OR LAWS OR REGULATIONS. YOU ARE SOLELY RESPONSIBLE FOR ENSURING THAT YOUR USE OF THE SERVICES IS IN ACCORDANCE WITH APPLICABLE LAW.
Customer Acknowledgment. By signing this Agreement, Customer agrees to the Program policies and procedures, including granting Implementer access to the Building identified in the Scope of Work, within reasonable scheduling and coordination parameters, for the purposes of conducting an energy assessment of the Building to evaluate pre-installation conditions, and/or inspecting installed Upgrades, and evaluating the performance of installed Upgrades, as deemed necessary.
Customer Acknowledgment. Notwithstanding any provision of the Sale Documents to the contrary, without limiting the representation in the first sentence of Section 5.16(c), the Purchaser expressly acknowledges and agrees that (a) neither the Company nor any of the Sellers makes any representation or warranty, express or implied, with respect to (i) the continuation, termination, cancellation, modification or amendment by the Company's customers of any of the Material Contracts or relationship with the Company's customers or (ii) the ownership or right of the Company to use any of the customer's Equipment and (b) the Purchaser will assume the risk, and neither the Company nor any of the Sellers will have any liability with respect to (i) the termination, cancellation, modification or amendment of any Material Contract or relationship with any of the Company's customers, whether or not such customers have the legal right to so terminate, modify, cancel or amend such Material Contracts or (ii) the Company's loss of the right to use or operate any of the Company's customer's Equipment.
