Common use of Customer Materials Clause in Contracts

Customer Materials. If, in connection with an SOW, Customer makes available to PROS any of Customer’s software, data or other materials, PROS and its Affiliates and their respective representatives will have the non-exclusive right and license to reproduce, modify and use the same solely in connection with the provision of the Professional Services.

Customer Materials. IfIf Customer provides or otherwise makes available to PROS any software, data or other materials belonging to Customer in connection with an SOW, Customer makes available to PROS any of Customer’s software, data or other materials, then PROS and its Affiliates and their respective representatives employees and agents will have the non-exclusive right and license to reproduce, modify and use the same solely in connection with the provision of the Professional Services.
