Common use of Customer Materials Clause in Contracts

Customer Materials. 11.1. The Supplier including any of its employees, agents, consultants, contractors and any third party shall: 11.1.1. not store, copy, disclose, or use material which is made available or supplied by the Customer to the Supplier (“Customer Materials”) except as necessary for the performance by the Supplier of its obligations under the Contract or as otherwise expressly authorised in writing by the Customer. 11.1.2. take all precautions necessary to preserve the integrity of Customer Materials and to prevent any corruption, destruction or loss of data relating to the Customer or their end customer which is processed, stored, generated, or capable of access by, or which otherwise comes into the possession of the Supplier or any third party.
