At any time during the Initial Fixed Network Deployment Phase, Laclede may notify Cellnet in writing that Laclede has concerns regarding any of the foregoing areas, and Cellnet shall investigate any such concerns, and (1) explain why the concerns are not reasonably likely, in Cellnet's reasonable discretion, to have a material adverse impact on the AMR Services, or (2) provide a reasonable plan and timeline to address these concerns in a manner reasonably acceptable to the Parties.

Data Center Operations. A. OPERATION OF DATA CENTER ISSC shall be responsible for the operation and management of the Data Center throughout the Term, which responsibility shall include establishing and maintaining a properly trained and adequately staffed Data Center population, including necessary management and support staff. The hours of operation of the Data Center shall be 24 hours per day, 7 days per week, exclusive of the regularly scheduled twelve (12) hour period from 11 a.m. through 11 p.m. on Sundays or unless otherwise agreed by the Parties. ISSC shall perform the Services in accordance with the Performance Standards and Minimum Service Levels. However, the Parties agree that the regularly scheduled weekly maintenance period will not impact ISSC's performance of the Services in accordance with the Performance Standards. In addition, ISSC will manage and optimize the existing Flagstar contract with Software Maintenance Specialists ("SMS") in La Mirada, California through successful completion of the migration to the To Be Systems environment.
Data Center Operations. If a subcontracted data center is used to provide Hosted Services, some basic protection for the Customer are as follows:
5.1 Data Center Services: Services to be provided by the data center, with responsibilities explicitly listed to perform daily data backups and recovery of data from backups upon reasonable request. All requests for recovery of data from backups as a result of Errors are at no cost to the Customer and shall be recovered within 24 hours of the request. Requests for recovery of data from backups that are not due to Errors will be done at a cost to the Customer in accordance with the Provider's hourly rate sheet.
5.2 Monitoring: The Provider is responsible to monitor the data center subcontract to ensure their compliance with contract terms; and if the Provider has to contract with a different data center to remain in compliance with this agreement or for any other reason, they will do so at their own cost and will manage the transition to another data center in a manner that minimizes the impact on the Customer’s Users. The Provider shall provide Customer not less than ninety (90) days notice before any change in data center location, performance, capability, and/or risk. The Customer may terminate this agreement at no cost for any reason if the Provider fails to provide such notice, or if such change adversely impacts the performance of services delivered by the Provider.

Data Center Operations. The current Data Center environment encompasses several locations across KSC. The Data Center supports approximately 300 servers and most of them are housed within 3 main locations: CIF room 243 with 233 servers including the KSC Internet System (KIS) and the KSC Applications System (KAS), HQ room 3470 with 50 servers, and LCC room 1P11 with 25 servers, of which 10 are Agency-owned and support NASA Agency applications. The remaining servers support a variety of KSC Government and contractor customers in various locations. Servers in remote locations are usually in close proximity to the users. The Data Center supports approximately 255 applications and websites. The majority of applications and web sites are used internally, but a limited number support users are external to KSC. There are plans to consolidate these environments into a single Data Center during the performance of this contract. The Data Center will provide the basic infrastructure to house hardware and software systems. The basic requirements of this infrastructure include redundant power, redundant cooling, and redundant network capabilities. CIF 243 houses: • A combination of Hewlett Packard and Dell servers. Windows Server 2003 is the primary server operating system; however, some servers use Windows Server 2000, Windows NT, Solaris, UNIX, OS/2, Netware and others. In some cases, hardware maintenance and operating system software licenses for systems are the responsibility of other organizations. These systems support the applications listed in Appendix 7 - Software Applications Listing. • Peripherals supporting the Data Center include disc storage units, automated tape storage and backup units, RAID disc storage units, network switches, domain controllers, firewall, Fibre Channel Storage Area Network (SAN) switch, server monitoring systems, and uninterruptible power supplies (UPS). • The KIS which hosts the KSC Internal and External home pages and provides web and streaming video services during launch and landing activities. The KIS utilizes high-end web/application servers, video streaming servers, and video encoding servers. • The KAS is comprised of three environments - production, development/test, and evaluation. Production provides a secure environment for NASA-sensitive data. Development/Test provides a unique capability to develop, test, stage, and move applications to Production, all within an infrastructure that is configured and managed identical to Production. Data Center Operations. The Manager shall monitor and manage each Owner’s property rights associated with the Data Centers, make periodic inspections of the Data Centers pursuant to the Operation Standards for needed repairs, arrange for repairs, alterations or improvements (including managing capital improvements and other construction in connection with the leasing of site space and electrical capacity) determined by the Manager to be necessary or appropriate or otherwise required under the related Tenant Lease(s), and otherwise provide for the maintenance of the Data Centers, including using commercially reasonable efforts to ensure that Tenants install their equipment in accordance with the terms of the relevant Tenant Lease and that all Data Centers are maintained in compliance in all material respects with all applicable laws, rules and regulations, and shall otherwise ensure that the Owners meet all of their obligations under the Tenant Leases. The Manager shall arrange for all utilities (including electricity), services, equipment and supplies necessary for the management, operation, maintenance and servicing of the Data Centers in accordance with the terms and conditions of the Tenant Leases, Site Leases and applicable laws, rules and regulations, including the payment of all Priority Expenses with respect to each Data Center pursuant to Section 9(b) hereof. The Manager shall perform on behalf of each Owner any obligation reasonably required of such Owner pursuant to any utility contract, agency agreement, Site Lease or other agreement related to the Data Centers (other than the payment of amounts due from the Owners thereunder, which payments shall be paid out of the Priority Expense Reserve Sub-Accounts, Liquidity Reserve Sub-Accounts, Capital Expenditures Reserve Sub-Accounts or the Operating Account as provided herein).
