Data Protection Terms. The Parties agree that the processing of Personal Information under or in connection with this Agreement shall be in accordance with this Exhibit, including all Annexes.
Data Protection Terms. IT IS AGREED as follows:
Data Protection Terms. 2.1 The Customer and Sponge shall comply with their obligations under Applicable Data Protection Laws in respect of all Customer Personal Data Processed pursuant to this agreement. The Customer acknowledges that Sponge is not responsible for determining the requirements of all laws applicable to the Customer's business or that Sponge's provision of the Services will meet the requirements of such laws. The Customer will ensure that Sponge's Processing of Personal Data, when done in accordance with the Customer's instructions, will not cause Sponge to violate any applicable law, regulation, or rule, including without limitation Applicable Data Protection Laws.
2.2 The Customer warrants and represents that:
(i) all Personal Data which it transmits to Sponge is transmitted in accordance with Applicable Laws; and
(ii) it has and shall maintain throughout the duration of this agreement all appropriate, lawful bases to use such Personal Data in accordance with this agreement, including ensuring the provision of Sponge's Privacy Policy to any relevant Data Subjects covering the Processing of such Personal Data by Sponge pursuant to this agreement.
2.3 Sponge shall only Process Customer Personal Data for the purpose of performing the Services on reasonable written instructions that the Customer may give to Sponge from time to time concerning such Processing. The Customer shall ensure that any such instructions comply with all Applicable Laws. Sponge shall notify the Customer if, in Sponge's opinion, any instruction given by or on Schedule 0, Sponge may take any steps that Sponge (acting reasonably and in good faith) determines are necessary in order for it to comply with Applicable Data Protection Laws. This shall include Sponge having the right to notify the ICO and any relevant Supervisory Authority of any circumstance that has arisen in relation to the Processing of Personal Data under this agreement to the extent that Sponge (acting reasonably and in good faith) believes that this is necessary in order to comply with Applicable Data Protection Laws.
Data Protection Terms. 4.1 Scope The terms in this section (“Data Protection Terms”) apply to all Services. Beta Services may employ lesser or different privacy and security measures than those typically present in the Services. Unless otherwise noted, Beta Services are governed by the Section 3.18 of the Terms of Service, and You should not use Beta Services to process Personal Data or other data that is subject to legal or regulatory compliance requirements.

Data Protection Terms. ETI will be the primary administrator of the MSE for the term of the applicable Order Form or SOW, and ETI will have administrative privileges and access to Customer Data. ETI may collect, use, transfer, disclose and otherwise process Customer Data, including personal data. Customer consents to ETI providing MSE Vendors with Customer Data and information that Customer provides to ETI for purposes of ordering, provisioning and administering the MSE. Customer appoints ETI as its agent for purposes of interfacing with and providing instructions to MSE Vendors for purposes of ETI’s privacy practices with respect to Customer Data.
