Day-to-Day Management. (a) Assisted Care shall be responsible for locating sites for the development of the Company's facilities, and shall provide oversight of architectural design, design engineering, construction and such other services relating to the design and construction of each Assisted Living Facility. Assisted Care shall be responsible for obtaining all zoning changes, conditional use permits and other authorizations necessary or required to operate the Company's Assisted Living Facilities. After obtaining approval of the development sites by the Management Committee, the Company shall have the authority to enter into real estate purchase contracts, which contracts shall be executed by Assisted Care on the Company's behalf.
(b) Atria shall be responsible for the operation of the Company of each of the Assisted Living Facilities once such facility has been constructed and a certificate of occupancy issued by the appropriate authorities. Atria shall have the right to designate one or more persons who have the responsibility and authority to direct the day-to-day control and management of each Assisted Living Facility of the Company. The rights and responsibilities of Atria as manager of each facility shall be as set forth in the Management Agreement, a copy of which is attached as Exhibit B to this Agreement.
(c) Subject always to Section 8.1(e) hereof and the other limitations of this Agreement, the Members, and those persons authorized to act on their behalf regarding the business and affairs of the Company, shall have the right, power and authority, on behalf of the Company, to execute any document or take any action consistent with their respective responsibilities described in this Section 8.2, including entering into such agreements with professionals such as attorneys and other providers of services that the Company may need to accomplish its objectives. Notwithstanding anything herein to the contrary, neither of the Members, nor any of those persons authorized to act on their behalf regarding the business and affairs of the Company, may take any act, expend any sum, make any decision or incur any obligation on behalf of the Company with respect to any of the matters set forth in Section 8.1(e) without the prior approval of the Management Committee. Neither Member shall be deemed a "Manager," as that term is defined in the Act.
Day-to-Day Management. The Company shall provide day-to-day management of all work necessary to complete Environmental and Permitting activities, and to obtain permits and other approvals to allow construction and operation of the CCRWP, including but not limited to Phase I of the Desalination Plant.
Day-to-Day Management. Subject to the restrictions contained in this Agreement and the direction of the Board of Directors, the day-to-day management and operation of the Corporation shall be the responsibility of the President and other officers of the Corporation.
Day-to-Day Management. The Parties agree that (i) decisions with respect to the day-to-day management of Development of Licensed Product in the Field in the Territory (other than the conduct of Territory-Specific Clinical Trials and Post-Approval Clinical Studies in the Licensed Territory) shall not be within the purview of the JDC, but instead shall be the sole responsibility of AVEO, and (ii) decisions with respect to the day-to-day management of Territory-Specific Clinical Trials and Post-Approval Clinical Studies in the Licensed Territory shall not be within the purview of the JDC, but instead shall be the sole responsibility of Biogen Idec, in each case provided such decisions are consistent with the Development Plan, and, subject, in each case to the restrictions contained in Section 4.8(a) and 4.8(b).
Day-to-Day Management. Corporation hereby engages Manager as its sole and exclusive agent to manage and administer the day-to-day business functions of the Corporation and any affiliate of Corporation which engages in the Practice. Manager’s performance of the Services shall involve such expenditure of time as Manager determines is necessary or advisable in its reasonable discretion.
Day-to-Day Management. MRWPCA shall provide day-to-day management of the work authorized by this Agreement, subject to applicable terms and conditions herein. MRWPCA shall serve as the contracting authority for the Parties for the GWR Project and, with MPWMD’s concurrence, contract directly with all professionals, firms, and outside contractors.
Day-to-Day Management. Because the Real Property will be net leased, it is not anticipated that substantial management responsibilities on the part of the Venture will exist. However, the Partners agree that CNL, through its designee, CNL Health Care Advisors, Inc., 400 East South Street, Orlando, Flxxxxx 00000, xxxxx xxxxxxx xxx xxxxxxx xxxxal payments from the tenant and place such payments into a new bank account established in the name of the Joint Venture. From such account, distributions shall be made pursuant to Article 2.4(f) hereof. No fees or other charges shall be made by CNL for these administrative duties except actual out-of-pocket costs for establishing the bank account and acquisition of checks therefor, service charges and other charges of like nature. In addition, CNL shall be responsible for maintaining landlord/tenant relationships with tenant and for monitoring gross revenues of the tenant and such other analysis as shall be necessary to determine whether additional rental is due from tenant, and for performing or supervising all functions incident to the day-to-day management of the Real Property. No charges shall be made by CNL for such services rendered to the Joint Venture. However, the Joint Venture shall reimburse CNL for its actual out-of-pocket costs incurred which relate to the management of the Real Property, and such costs shall be a Venture expense.
Day-to-Day Management. Subject to authority granted to the shareholders of the Company under mandatory French laws and the Bylaws, the President shall be responsible for the overall direction and control of the management of the Company and the formulation of the policies to be applied in the conduct of the Company’s business in compliance with applicable laws and the Bylaws. Subject to mandatory applicable laws and the Bylaws Management of the Company will manage the day-to-day operations of the Company in accordance with the authority of the President.
Day-to-Day Management. Physician hereby engages Manager as his sole and exclusive agent to manage and administer the day-to-day business functions related to the Practice conducted by Physician at the Practice Site. Manager’s performance of the Services shall involve such expenditure of time as Manager determines is necessary or advisable in its reasonable discretion.
Day-to-Day Management. The Council is responsible for all commissioning arrangements other than the contracting functions set out in this Agreement. The CCG is responsible for the contracting of the Services and has the key managing and reporting role as set out in this Agreement .
