DEED OF GUARANTEE AND INDEMNITY is a deed executed by Obayashi Corporation ARBN 002 937 756 and Transfield Holdings Pty Limited ACN 001 241 265 in favour of the State in the form of Exhibit H (Annexed).
DEED OF GUARANTEE AND INDEMNITY. We the Guarantors whose names addresses and descriptions are set out in the Schedule to this Guarantee and Indemnity ("the Guarantee") in consideration of the Vendor named in the attached Contract selling to the Purchaser named in the Contract at our request the Land described in the Contract for the price and upon the terms and conditions contained in the Contract DO HEREBY for ourselves our respective executors and administrators JOINTLY AND SEVERALLY COVENANT with the Vendor that if at any time default shall be made in the payment of the Deposit or Payment of Residue or interest or other moneys payable by the Purchaser to the Vendor under the Contract or in the performance or observance of any term or condition of the Contract to be performed or observed by the Purchaser we will forthwith on demand by the Vendor pay to the Vendor the Price interest charges or other moneys or such part as shall then be due and payable to the Vendor AND AS A
DEED OF GUARANTEE AND INDEMNITY. 8.1 Simultaneously with the execution of this Agreement, the Purchaser shall procure the delivery to the Sellers of the Deed of Guarantee and Indemnity and the Opinion Letter. 8.2 If following the date of this Agreement a company other than the parent company of the Purchaser which executed the Deed of Guarantee and Indemnity becomes the ultimate parent company of the Purchaser then the Purchaser shall forthwith procure the delivery to the Sellers of an additional parent company guarantee in the form of the Deed of Guarantee and Indemnity, executed by the ultimate parent company of the Guarantor together with an additional opinion letter in respect of that parent company guarantee in the form of the Opinion Letter.
DEED OF GUARANTEE AND INDEMNITY. Under the Deed of Guarantee and Indemnity executed contemporaneously with the Novation Deed, VMSIG, a substantial Shareholder interested in an aggregate of approximately 28.74% of the issued Shares directly and through its direct wholly owned subsidiary, Fast Fortune, as at the date of this announcement and hence a connected person of the Company, agrees to unconditionally and irrevocably guarantee to Koolan the due and punctual performance of Ace Profit’s obligations under the Restated Long Term Hematite Supply Agreement and to indemnify Koolan against all losses, actions, proceedings and judgments arising from any default or delay in the performance of such obligations. The provision of guarantee and indemnity under the Deed of Guarantee and Indemnity by VMSIG helps secure the Novation Deed and the Restated Long Term Hematite Supply Agreement, which provides the Group with the supply of quality hematite ores from an established producer, the MGI Group. The Company has agreed with VMSIG for a maximum annual fee of HK$5 million for its provision of guarantee and indemnity and continual financial assistance to the Company. The liability of VMSIG for all claims under the Deed of Guarantee and Indemnity is capped at US$75 million. As a form of financial assistance (as defined in the Listing Rules) to be received by the Group from a connected person of the Company, the provision of guarantee and indemnity under the Deed of Guarantee and Indemnity will be conducted on normal commercial terms and will not be secured by the assets of the Group. Accordingly, such financial assistance is fully exempt from the shareholders’ approval, annual review and all disclosure requirements under Chapter 14A of the Listing Rules.
DEED OF GUARANTEE AND INDEMNITY. In consideration of the Buyer paying the Purchase Price to the Seller pursuant to the Contract for the Sale and Purchase of Future Receivables entered into between the Buyer and the Seller on 30 September 2022 (the “Contract”), the undersigned guarantor hereby agrees to unconditionally, irrevocably and jointly and severally with all Guarantors guarantee as primary obligor the Seller’s performance of all of the covenants and agreements made by the Seller to the Buyer in the Contract and as set out in the Terms and Conditions as annexed to the Contract, including without limitation to the payment of any outstanding Purchased Amount in the event that the Seller shall fail to settle such amount in full, and will fully indemnify the Buyer and hold the Buyer harmless from and against all liabilities, losses, costs or expenses arising from or in connection with any matters arising under the Contract (including the Terms and Conditions). Unless otherwise defined herein, capitalized terms used in this Guarantee and Indemnity shall adopt the same meanings of such terms as defined in the Contract.

  • GUARANTEE AND INDEMNITY 2.1 The Guarantor irrevocably and unconditionally guarantees and undertakes to the Beneficiary to procure that the Supplier duly and punctually performs all of the Guaranteed Obligations now or hereafter due, owing or incurred by the Supplier to the Beneficiary. 2.2 The Guarantor irrevocably and unconditionally undertakes upon demand to pay to the Beneficiary all monies and liabilities which are now or at any time hereafter shall have become payable by the Supplier to the Beneficiary under the Guaranteed Agreement or in respect of the Guaranteed Obligations. 2.3 If at any time the Supplier shall fail to perform any of the Guaranteed Obligations, the Guarantor, as primary obligor, irrevocably and unconditionally undertakes to the Beneficiary that, upon first demand by the Beneficiary it shall, at the cost and expense of the Guarantor: 2.3.1 fully, punctually and specifically perform such Guaranteed Obligations as if it were itself a direct and primary obligor to the Beneficiary in respect of the Guaranteed Obligations and liable as if the Guaranteed Agreement had been entered into directly by the Guarantor and the Beneficiary; and 2.3.2 fully indemnify and keep the Beneficiary fully indemnified on demand against all losses, damages, costs and expenses (including VAT thereon, and including, without limitation, all court costs and all legal fees on a solicitor and own client basis, together with any disbursements,) of whatever nature which may result or which such Beneficiary may suffer, incur or sustain arising in any way whatsoever out of a failure by the Supplier to perform the Guaranteed Obligations save that, subject to the other provisions of this Deed of Guarantee, this shall not be construed as imposing greater obligations or liabilities on the Guarantor than are purported to be imposed on the Supplier under the Guaranteed Agreement. 2.4 As a separate and independent obligation, the Guarantor irrevocably and unconditionally undertakes to indemnify and keep the Beneficiary indemnified on demand against all losses, damages, costs and expenses (including VAT thereon, and including, without limitation, all legal costs and expenses), of whatever nature, whether arising under statute, contract or at common law, which such Beneficiary may suffer or incur if any obligation guaranteed by the Guarantor is or becomes unenforceable, invalid or illegal as if the obligation guaranteed had not become unenforceable, invalid or illegal provided that the Guarantor's liability shall be no greater than the Supplier's liability would have been if the obligation guaranteed had not become unenforceable, invalid or illegal.

  • AMENDMENT OF GUARANTY No term or provision of this Guaranty shall be amended, modified, altered, waived or supplemented except in a writing signed by Guarantor and Counterparty.

  • Enforcement of Guarantee The Guarantor and the Guarantee Trustee expressly acknowledge that (i) this Guarantee Agreement will be deposited with the Guarantee Trustee to be held for the benefit of the Holders; (ii) the Guarantee Trustee has the right to enforce this Guarantee Agreement on behalf of the Holders; (iii) Holders representing not less than a Majority in liquidation amount of the Preferred Securities have the right to direct the time, method and place of conducting any proceeding for any remedy available in respect of this Guarantee Agreement, including the giving of directions to the Guarantee Trustee, or exercising any trust or other power conferred upon the Guarantee Trustee under this Guarantee Agreement, and (iv) if the Guarantee Trustee fails to enforce this Guarantee Agreement, any Holder may institute a legal proceeding directly against the Guarantor to enforce its rights under this Guarantee Agreement, without first instituting a legal proceeding against the Issuer, the Guarantee Trustee or any other Person. Notwithstanding the foregoing, if the Guarantor has failed to make a Guarantee Payment, a Holder of Preferred Securities may directly institute a proceeding against the Guarantor for enforcement of such Holder's right to receive payment under the Guarantee. The Guarantor waives any right or remedy to require that any action be brought first against the Issuer or any other person or entity before proceeding directly against the Guarantor.

  • Guaranty Each Guarantor hereby absolutely and unconditionally, jointly and severally guarantees, as primary obligor and as a guaranty of payment and performance and not merely as a guaranty of collection, prompt payment when due, whether at stated maturity, by required prepayment, upon acceleration, demand or otherwise, and at all times thereafter, of any and all Secured Obligations (for each Guarantor, subject to the proviso in this sentence, its “Guaranteed Obligations”); provided that (a) the Guaranteed Obligations of a Guarantor shall exclude any Excluded Swap Obligations with respect to such Guarantor and (b) the liability of each Guarantor individually with respect to this Guaranty shall be limited to an aggregate amount equal to the largest amount that would not render its obligations hereunder subject to avoidance under Section 548 of the Bankruptcy Code of the United States or any comparable provisions of any applicable state law. The Administrative Agent’s books and records showing the amount of the Obligations shall be admissible in evidence in any action or proceeding, and shall be binding upon each Guarantor, and conclusive for the purpose of establishing the amount of the Secured Obligations. This Guaranty shall not be affected by the genuineness, validity, regularity or enforceability of the Secured Obligations or any instrument or agreement evidencing any Secured Obligations, or by the existence, validity, enforceability, perfection, non-perfection or extent of any collateral therefor, or by any fact or circumstance relating to the Secured Obligations which might otherwise constitute a defense to the obligations of the Guarantors, or any of them, under this Guaranty, and each Guarantor hereby irrevocably waives any defenses it may now have or hereafter acquire in any way relating to any or all of the foregoing.

  • Scope of Guaranty (a) Guarantor hereby absolutely, unconditionally and irrevocably guarantees to Lender each of the following: (i) Guarantor guarantees the full and prompt payment when due, whether at the Maturity Date or earlier, by reason of acceleration or otherwise, and at all times thereafter, of each of the following: (A) Guarantor guarantees a portion of the Indebtedness equal to 0% of the original principal balance of the Note (“Base Guaranty”). (ii) Guarantor guarantees the full and prompt payment and performance of, and compliance with, all of Borrower’s obligations under Sections 6.12, 10.02(b) and 10.02(d) of the Loan Agreement when due and the accuracy of Borrower’s representations and warranties under Section 5.05 of the Loan Agreement. (iii) Guarantor guarantees the full and prompt payment and performance of, and compliance with, Borrower’s obligations under Section 6.09(e)(v) of the Loan Agreement to the extent Property Improvement Alterations have commenced and remain uncompleted.
