Defects In Materials. 17.1 The Client shall inspect the Materials on delivery and shall within seven (7) days of delivery (time being of the essence) notify the Contractor of any alleged defect, shortage in quantity, damage or failure to comply with the description or quote. The Client shall afford the Contractor an opportunity to inspect the Materials within a reasonable time following delivery if the Client believes the Materials are defective in any way. If the Client shall fail to comply with these provisions the Materials shall be presumed to be free from any defect or damage. For defective Materials, which the Contractor has agreed in writing that the Client is entitled to reject, the Contractor’s liability is limited to either (at the Contractor’s discretion) replacing the Materials or repairing the Materials.

Company may choose the supplier of a Material, unless Buyer designates a specific supplier in the BOM. With respect to any Materials to be purchased by Company, COMPANY MAKES NO REPRESENTATION OR WARRANTY WITH RESPECT TO THE EXTENT OR ENFORCEABILITY OF A MATERIAL SUPPLIER’S WARRANTY. With respect to any Materials to be purchased by Company, Company’s sole obligation shall be to assign to Buyer any warranties made by a Material supplier with respect to the Material so supplied, to the extent assignable, but Company does not guarantee that the supplier will comply with any of the terms of its warranty.

You shall give us an opportunity to inspect the Materials within a reasonable time following delivery if you believe the Materials are defective in any way. If you shall fail to comply with these provisions, the Materials shall be presumed to be free from any defect or damage. For defective Materials, which we have agreed in writing that you are entitled to reject, your liability is limited to either (at our discretion) replacing the Materials or repairing the Materials.
