DEFENSE, INDEMNIFICATION / HOLD HARMLESS. Contractor shall protect, defend, indemnify, and save harmless the State, its elected and appointed officials, agents, and employees, while acting within the scope of their duties as such, from and against all claims, liabilities, demands, causes of action, judgments, and losses, including all costs of defense and reasonable attorney fees, arising in favor of or asserted by Contractor’s employees and agents, its subcontractors, its subcontractor’s employees and agents, or third parties on account of property damage, personal injury, bodily injury, death, or financial or other loss of any kind that in any way, directly or indirectly, arise or allegedly arise out of or in connection with this Contract. Contractor waives all claims, demands, causes of action, and recourse against the State, including claims of contribution or indemnity, arising in favor of Contractor on account of property damage, personal injury, bodily injury, death, or financial or other loss of any kind that in any way, directly or indirectly, arise or allegedly arise out of or in connection with this Contract.

INSURANCE Municipality covenants and agrees to indemnify, defend and hold harmless, to the fullest extent permitted by law, the County, its officers, contractors, agents and employees and representatives in connection with this Agreement, from and against any and all loss or expense that may arise by reason of liability for damage, injury or death, or for invasion of personal or property rights, of every name and nature and whether casual or continuing trespass or nuisance and any other claim for damages at law and/or equity alleged to have been caused or sustained in whole or in part by or because of Municipality’s ownership or control of sewers, the performance of sewer repair/improvement design and/or construction work by the County, its officers, contractors, agents and/or employees pursuant to this Agreement, the enforcement of this Agreement, or because of misfeasance, omission of duty, negligence or wrongful act on the part of Municipality and/or its officers, agents and employees.. The County covenants and agrees to indemnify, defend and hold harmless Municipality, its officers, agents and employees in connection with this Agreement from and against any and all loss or expense that may arise by reason of liability for damage, injury or death, or for invasion of personal or property rights, of every name and nature, and whether casual or continuing trespass or nuisance and any other claim for damages at law and/or equity alleged to have been caused or sustained in whole or in part by or because of the design and/or construction of sewer repairs and improvements pursuant to this Agreement by the County, its employees, contractors, agents and/or assigns, to the extent that such loss is caused by the negligence or gross negligence on the part of the County and/or its employees, contractors, agents and assigns.
