Delivered Materials. Visioneer will deliver a single copy of the Program in binary form on diskettes as well as with checksums via FTP for each localized version. Visioneer will post the files and inform HP via e-mail and/or voice-mail that the files are available on the FTP server. HP will acquire the electronic formats in a "pull" mode from the FTP server.
Delivered Materials. Within two (2) days following the Effective Date, Seller will deliver or cause to be delivered to Buyer copies of all of the documents and materials relating to the Property listed on EXHIBIT 6.2.1 attached hereto provided that the same is not confidential or proprietary in nature. Seller has not undertaken any independent investigation as to the truth or accuracy of the documents and materials to be delivered and is providing same solely as an accommodation to Buyer.
Delivered Materials. To Seller's Knowledge, the ------------------- Documents (as hereinafter defined) delivered to Buyer by Seller are not false or misleading in any material respect. Except for the Leases and all documents and agreements which have been recorded against the Property, the Documents include all contracts and other agreements which have been entered into by Seller, which are effective as of the date hereof and which would be binding on Buyer after the Closing Date.
Delivered Materials. Prior to the Effective Date, Seller has, or within five (5) business days following the Effective Date, will deliver or cause to be delivered
(i) attached hereto. Seller has not undertaken any independent investigation as to the truth or accuracy of the documents and materials to be delivered and is providing same solely as an accommodation to Buyer. In addition, Buyer has informed Seller that it is required by law to complete, with respect to certain matters relating to the Property, an audit commonly known as a “3-14 audit” (the “Buyer’s 3-14 Audit”). It is anticipated that Buyer shall complete the Buyer’s 3-14 Audit during the Due Diligence Period. In connection with the completion by Buyer of Buyer’s 3-14 Audit, Seller shall, at no cost to Seller: (a) during the Due Diligence Period, make available to Buyer the documents described in Exhibit 6.2.1(ii) attached hereto to the extent in Seller’s possession; and (b) provide to Buyer, in written form, answers as reasonably determined by Seller to the questions relating to the Property which are set forth in Exhibit 6.2.1(ii).
