Deliveries by St. Prior to the Closing, ST shall deliver to the civil law notary executing the deed of issue in respect of the ST Newco Shares, a duly executed power of attorney by ST with respect to the execution of the notarial deed of issue in respect of the ST Newco Shares, which power of attorney shall be legalized and affixed with an apostille and shall be accompanied by a legal opinion certifying that the signatory or signatories of the power has or have the authority to represent ST with respect to the matters to which the power pertains. 3
