Delivery and Contents. Service Provider shall deliver to DIR portions and versions of the Service Management Manual for DIR's review and comment on the dates provided in Attachment 6-B. DIR shall review the Service Management Manual and provide Service Provider with comments and revisions. Service Provider shall incorporate DIR's comments and revisions into the Service Management Manual and shall deliver subsequent versions thereof on or before the dates set forth in Attachment 3-C for DIR's review and comment in accordance with this Section. Service Provider shall work with each DIR Customer to document appropriate policies, processes and procedures for inclusion in the Service Management Manual to provide effective Service interfaces between Service Provider and the DIR Customers. Service Provider shall deliver a final version of the Service Management Manual to DIR on or before the date set forth in Attachment 3-C for DIR's final approval, which DIR may withhold in its sole discretion. Service Provider shall submit to DIR a revised Service Management Manual within thirty (30) days of DIR's rejection addressing each of the points raised by DIR in its rejection until DIR has approved the Service Management Manual. At a minimum, the Service Management Manual shall address the subjects specified in Attachment 6-B (to the extent applicable) and shall include the following:
(i) a detailed description of the manner in which each of the Services shall be performed by Service Provider, including (A) documentation (including operations manuals, user guides, specifications, policies/procedures and disaster recovery/business continuity plans) to be created and/or maintained by Service Provider in the course of performing the Service, (B) the specific activities to be undertaken by Service Provider in connection with each Service, including, where appropriate, the direction, supervision, monitoring, staffing, reporting, planning and oversight activities to be performed by Service Provider under this Agreement, (C) the checkpoint reviews, testing, acceptance, controls and other procedures to be implemented and used to assure service quality, (D) the DIR-approved processes, methodologies and controls to be implemented and used by Service Provider to comply and confirm compliance with DIR Rules and DIR Standards, (E) the processes, methodologies and controls to be implemented and used by DIR, DIR Customers and Service Provider to identify DIR Data that DIR Customers are legally prohibited fr...
Delivery and Contents. As part of the Services, and at no additional cost to Hercules, Supplier shall deliver to Hercules a reasonably complete draft of the Policy and Procedures Manual(s) with respect to the Services to be transitioned to Supplier on the Commencement Date, for Hercules' review, comment and approval, at least thirty (30) days prior to the Commencement Date. (i) a detailed description of the Services and the manner in which each will be performed by Supplier, including (A) the Equipment, Software, and Systems to be procured, operated, supported or used; (B) documentation (including operations manuals, user guides, specifications, policies/procedures and disaster recovery/business continuity plans) providing further details regarding such Services; (C) the specific activities to be undertaken by Supplier in connection with each Service, including, where appropriate, the direction, supervision, monitoring, staffing, reporting, planning and oversight activities to be performed by Supplier under this Agreement; (D) the checkpoint reviews, testing, acceptance, controls and other procedures to be implemented and used to assure service quality; and (F) subject to Section 15.7,...
Delivery and Contents. As part of the Services, Provider shall deliver to Client for its review, comment and approval (i) a reasonably complete draft of the Process and Procedures Manual within one hundred twenty (120) days after the Effective Date, and (ii) a final draft of the Process and Procedures Manual within one hundred fifty (150) days after the Effective Date. Client shall have at least fifteen (15) days to review the draft Process and Procedures Manual and provide Provider with comments and revisions. Provider shall then incorporate any comments or changes of Client into the Process and Procedures Manual and shall deliver a final revised version to Client within fifteen (15) days of its receipt of such comments and changes for Client’s final approval. At a minimum, the Process and Procedures Manual shall include:
(i) a detailed description of the Services and the manner in which each will be performed by Provider to the extent not already described in the applicable Statement of Work;
(ii) the procedures for Client/Provider interaction and communication, including: (A) call lists; (B) procedures for and limits on direct communication by Provider with Client personnel; (C) problem management and escalation procedures; (D) priority and project procedures; (E) Acceptance testing and procedures; (F) Quality Assurance processes and procedures and internal controls (consistent with Section 9.7 and in accordance with Section 9.4(c)); (G) the Project formation and approval process; (H) a schedule, format and required attendees for meetings regarding performance reporting, account relationship management, issues management, risk management, request management and financial management; (I) change control procedures and change control standards consistent with Section 9.8; and (J) disaster recovery/business continuity plans;
(iii) the Root Cause Analysis process; and
(iv) practices and procedures addressing any other issues and matters as Client shall require. Provider shall incorporate Client’s then current policies and procedures in the Process and Procedures Manual to the extent that Provider is directed to do so by Client.
Delivery and Contents. As part of the Services, and at no additional cost to ABM, Supplier shall deliver to ABM for its review, comment and approval (i) a preliminary draft of the Policy and Procedures Manual applicable to the performance of the Services during the period preceding the migration to the Supplier data center not later than fifty (50) days after the Commencement Date, and (ii) a final draft of the Policy and Procedures Manual applicable to the performance of such Services not later than one hundred ten (110) days after the Commencement Date. Thereafter, as part of the Services, and at no additional cost to ABM, Supplier shall deliver to ABM for its review, comment and approval (i) a preliminary draft of a revised Policy and Procedures Manual containing additions and modifications applicable to the performance of the Services following the migration to the Supplier data center not later than thirty (30) days prior to the scheduled migration date), and (ii) a final draft of the revised Policy and Procedures Manual containing such modifications not later than the scheduled migration date.
Delivery and Contents. For each Supplement entered into by the Parties under this Agreement, as part of the Services, and at no additional cost to CoreLogic, Supplier shall deliver to CoreLogic for its review, comment and approval a reasonably complete draft of the Policy and Procedures Manual for such Supplement within *** (***) *** after the Supplement Effective *** unless another date is specified in such Supplement. (ii) the procedures for CoreLogic/Supplier interaction and communication and descriptions relative to CoreLogic’s use and receipt of Services, including: (A) call lists; (B) procedures for and limits on direct communication by Supplier with CoreLogic Personnel; (C) problem management and escalation procedures; (D) priority and project procedures; (E) Acceptance testing and procedures; (F) Quality Assurance procedures and internal controls applicable to the Services; (G) the Project formation and approval process; (H) a schedule, format and required attendees for performance reporting, account relationship management, issues management, risk management, request management and financial management; and (I) procedures regarding the declaration of a disaster and activation of the applicable disaster recovery/business continuity plans with an identification of the location of each applicable plan to be activated (for clarity, not copies of such plans); and

CSC shall create, as part of the Services, and at no additional cost to Sears, an operational procedures manual that documents the processes and procedures that underlie each Service (the “Operational Procedures Manual” or “OPM”). CSC shall deliver to Sears for its review, comment and approval both an outline of the topics to be addressed in the Operational Procedures Manual and a final draft of the OPM for each Exhibit, in each case within the time periods set forth in the applicable Exhibit. At a Table of Contents minimum, the Operational Procedures Manual for each Exhibit shall include the following:
(i) a detailed description of the Services and the manner in which each shall be performed by CSC under the Exhibit, including (1) all CSC Provided Systems, CSC Managed Systems and Sears Provided Systems, as well as the functional and operational characteristics of each of the foregoing, (2) documentation (including operations manuals, user guides, specifications, policies/procedures and disaster recovery plans) providing further details regarding such Services, and (3) the specific activities to be undertaken by CSC in connection with each Service, including, where appropriate, service responsibilities matrices, the direction, supervision, monitoring, staffing, reporting, planning and oversight activities to be performed by CSC and the time period in which tasks are to be completed under the Exhibit;
(ii) the procedures for Sears/CSC interaction and communication, including (1) call lists, (2) procedures for and limits on direct communication by CSC with Sears Personnel, (3) problem management and escalation procedures, (4) priority and project procedures, (5) acceptance testing and procedures, (6) quality assurance procedures and checkpoint reviews, and (7) annual and quarterly financial objectives, budgets and performance goals; and
(iii) practices and procedures addressing such other issues and matters as Sears shall require. CSC shall incorporate Sears’ then-current policies and procedures in the Operational Procedures Manual to the extent Sears directs CSC to do so.

An outline setting forth preliminary policies and procedures (including security and control requirements) to be followed by Provider in its performance of the Services under each Transaction Document, as such policies and procedures may be updated from time to time during the Term, is set forth in Schedule 9.6. The policies and procedures outline will be finalized in accordance with the Transition Plan and will become the final documentation for policies and procedures under each Transaction Document (the “Policies and Procedures Manual”). The outline shall include, at a minimum, the procedures under each Transaction Document for Idearc/Provider interaction and communication, including (A) work flow/demand management; (B) service level monitoring; (C) procedures for and limits on direct communication by Provider with Idearc personnel; (D) problem management and escalation procedures; (E) Quality Assurance procedures, internal controls and checkpoint reviews; and (F) practices and procedures addressing such other issues and matters as Idearc shall reasonably require.
