7.1 Provided the conditions in clause 1.5 have been satisfied, we must, or must procure, the delivery of the System to the Premises.
7.2 The risk of loss or theft of, or damage to, the System passes to you on delivery of the System to the Premises.

Time is of the essence in Contractor’s performance of this Contract. In order for the time of delivery to be changed, Contractor must submit a request in writing to an authorized representative of UConn Health’s Procurement Department. Goods shall be securely and properly packed for shipment, according to accepted standard commercial practice, without extra charge for packing cases, baling or sacks. The containers shall remain the property of UConn Health unless otherwise stated in this Contract. At the sole option of UConn Health, Goods may be subject to re-weighing on State sealed scales. Installation shall be performed by Contractor in accordance with industry standards.
Delivery and Installation. 9.1.1 You are responsible for installation of the Programs unless the Programs have been pre-installed by Oracle on the Hardware You are purchasing under the order or unless You purchase installation services from Oracle for those Programs.

In the event that Lessee is authorized by Lessor to install said Equipment, the Lessee may elect to have Lessor certify the installation. Risk of loss shall remain with Lessor until such certification.

Lessee shall pay any delivery and installation charges. Lessor shall not be liable to Lessee for any delay in, or failure of, delivery of the Equipment and Programming. Lessee shall examine the Equipment and Programming immediately upon delivery. If the Equipment is not in good condition or the Equipment or Programming does not correspond to IBM's specifications, Lessee shall promptly give IBM written notice and shall provide IBM reasonable assistance to cure the defect or discrepancy.
