Without obligation, DSSI may, in its sole discretion and within its own schedule, review the merit of any issues or questions reported by Institution regarding its use of Software. 3.3 DSSI reserves the right to audit Institution’s compliance with this Agreement, and Institution agrees to give reasonable access to DSSI to do so, provided DSSI gives Institution reasonable advanced notice of such audit and the audit is performed during normal business hours of Institution.
Delivery and Support. During the Battery Technology License Term, Altair shall at no charge to YTE, (i) promptly provide to YTE documentation in English necessary to enable YTE to exercise the full scope of the Battery Technology License and (ii) make available to YTE engineering and technical services to the extent and in a manner reasonably necessary to enable YTE to exercise the full scope of the Battery Technology License. During the Battery Technology License Term, Altair shall make available to YTE additional engineering and technical services at a commercially reasonable hourly rate to be agreed upon in good faith by the Parties.

Access and use of the hosted SOFTWARE by LICENSEE is governed by LICENSE except for the following terms and conditions which govern hosted access. i. Industry standard security settings and encryption in transit are used for the hosted access. LICENSEE agrees that LICENSOR has no liability for such processing and security of data and personal data of LICENSEE by Amazon AWS. ii. LICENSEE acknowledges and agrees that LICENSEE is prohibited from sharing passwords and/or usernames with unauthorized users for the hosted access. LICENSEE will be responsible for the confidentiality and use of LICENSEE’s (including its authorized users’) passwords and usernames used with the hosted access. b) DOCUMENTATION supporting USE of SOFTWARE may be provided by LICENSOR through a documentation site. No other support is provided under this LICENSE. Without obligation, LICENSOR may, in its sole discretion and within its own schedule, review the merit of any issues or questions reported by LICENSEE regarding its USE of SOFTWARE. c) LICENSOR reserves the right to audit LICENSEE’s compliance with this LICENSE at LICENSOR’s reasonable request, and LICENSEES agrees to give reasonably cooperate with LICENSOR to do so.

Unless agreed separately by the parties, KI shall not responsible for the installation of FEFA 2. 4.2 KI shall, free of charge, via KI’s German partner DATA MODA digital engineering GmbH, provide the Licensee with appropriate support in the event of defects in FEFA 2. The support shall be provided within a reasonable period of time from the date on which the Licensee notifies KI in writing of the defect. 4.3 At the request of the Licensee, KI may, at its sole discretion, via KI’s German partner DATA MODA digital engineering GmbH, provide support not related to any defects in FEFA 2. The Licensee shall pay KI for such support in accordance with KI’s price list in effect from time to time.
