Delivery by Purchaser Sample Clauses
Delivery by Purchaser. Purchaser shall deliver to Sellers:
(i) The Purchase Price in Purchaser shares; and
(ii) copies of resolutions of the Board of Directors of Purchaser approving the terms of the Agreement and the execution of this Agreement by the Purchaser.
Delivery by Purchaser. Purchaser shall deliver to the Seller:
(i) the Purchase Price in U.S. currency by wire transfer to the Escrow Agent for disbursement in accordance with the escrow agreement attached hereto as Exhibit B: and
(ii) copies of the powers of attorney from each of the Stockholders, authorizing the Purchaser to act on each of their behalf, the form of which Power of Attorney is attached as Exhibit C to this Agreement.
Delivery by Purchaser. (a) Purchaser shall deliver, or cause to be delivered, to the Escrow Agent for the Proceeds Escrow the Consideration as required by Section 1.3.
(b) Purchaser shall deliver, or cause to be delivered, to JNE such instruments, documents and certificates as are required to be delivered by Purchaser or its representatives pursuant to the provisions of this Agreement.
Delivery by Purchaser. Purchaser shall deliver the Purchase Price, as defined in Section 1 herein, by check, wire transfer or bank check.
Delivery by Purchaser. At the Closing, Purchaser shall deliver to Seller the following:
9.2.1. The Purchase Price in the amount and manner set forth in Section 3.1.
9.2.2. A certificate, signed by an executive officer of Purchaser, as to the fulfillment of the conditions set forth in Section 8.1 and Section 8.2 hereof.
9.2.3. An assumption agreement pursuant to which Purchaser shall assume the Assumed Contract.
Delivery by Purchaser. The Purchaser shall pay to the Issuer an aggregate of $1,700,000 Dollars (RMB 10,460,000 at exchange rate 6.1529) by wire transfer as instructed by Issuer.
Delivery by Purchaser. (a) The PURCHASER shall deliver the Termination of Warrant as required in Section 1.3.
(b) The PURCHASER shall deliver, or cause to be delivered, to SELLER such instruments, documents and certificates as are required to be delivered by the PURCHASER or its representatives pursuant to the provisions of this Agreement.
Delivery by Purchaser. Purchaser shall deliver, or shall cause the Escrow Agent to deliver:
(i) To Escrow Agent, the Additional Payment in U.S. currency by wire transfer to a bank account designated in writing by the Company or by delivery of a certified check, which shall constitute, along with the Initial Deposit, the full amount of the Purchase Price, from which the Escrow Agent shall satisfy all outstanding obligations of the Company as of the Closing Date; and
(ii) To the Company, a consent of the Manager(s) of Purchaser approving the terms of the Agreement and the execution of this Agreement by the Purchaser.
Delivery by Purchaser. The Purchaser shall pay to the Issuer an aggregate of $500,000 by wire transfer as instructed by Issuer.
Delivery by Purchaser. At or before the Closing, Purchaser shall deliver to Seller the following:
