Delivery by the Buyer. At the Closing the Buyer is delivering to the Seller the payment provided for in Section 1.02 hereof.
Delivery by the Buyer. At the Closing, the Buyer shall transfer to the Seller a cash payment of $453.56 as specified in Section 1.02 to the Seller via wire transfer to an account designated in writing by Sellers, which shall be an escrow account controlled by Vxxxxxx & Rxxx. The Purchase Price will be held by Vxxxxxx & Rxxx until it has also received certificates representing the Shares.
Delivery by the Buyer. At the Closing, the Buyer shall transfer to the Seller a cash payment of the Purchase Price to the Seller via wire transfer to an account designated in writing by Sellers, which shall be an escrow account controlled by Vxxxxxx & Rxxx. The Purchase Price will be held by Vxxxxxx & Rxxx until it has also received certificates representing the Shares.
Delivery by the Buyer. At the Closing, the Buyer shall deliver to --------------------- the Sellers:
(i) The Purchase Price as set forth in Section 1.2 herein; and
(ii) Any other documents or instruments reasonably required from the Buyer to consummate the transactions contemplated hereby.
Delivery by the Buyer. At the Closing, ---------------------
(a) the Buyer shall deliver, or cause to be delivered, the following to the Parent:
(i) An amount in cash equal to the Consideration minus the Escrow Amount minus the Estimated Transferred Fastener Subsidiary Debt pursuant to the Parent's written notification delivered to the Buyer in accordance with Section 2.3(b), if any, and minus the amount of the Overdue Closing Receivables identified in the Buyer Closing Receivables Notice pursuant to Section 2.10, if any, by wire transfer of immediately available funds to a bank account designated in writing by the Parent at least two business days prior to the Closing Date in any bank in the continental United States or by such other means as are agreed to in writing by the Buyer and the Parent;
(ii) Copies of any consents obtained as contemplated by Sections 5.5(a)(i);
(iii) The Undertaking and Indemnity Agreement duly executed by the Buyer;
(iv) The Escrow Agreement duly executed by the Buyer;
(v) Duly executed lease agreement between the Buyer and the Parent with respect to the Fullerton Property as contemplated by Section 5.27; and
(vi) The certificates contemplated by Sections 7.2 and 7.4.
(b) the Buyer shall deliver to the Escrow Agent the Escrow Amount pursuant to the terms of the Escrow Agreement.
Delivery by the Buyer. At the Closing the Buyer is delivering to the Sellers, (i) stock certificates in the denominations set forth above and (ii) corporate minutes, certificates and opinions authorizing such transaction.
Delivery by the Buyer a) Delivery of the goods shall be made by the Buyer collecting the goods at the Sellers premises at any time after the Sellers have notified the Buyer that the goods are ready for collection or, if some other place for delivery is agreed by the Sellers, by the Sellers delivering the goods to that place.
b) If the Buyer fails to take delivery of the goods, then, without prejudice to any other right or remedy available to the Sellers, the Sellers may:
i) Store the goods until actual delivery and charge the Buyer for the reasonable costs (including insurance) of storage; or ii) Sell the goods at the best price readily obtainable and (after deducting all reasonable storage and selling expenses) account to the Buyer for the excess over the price under the contract or charge the Buyer for any shortfall below the price under the contract.
Delivery by the Buyer. At the Closing the Buyer shall transfer to the Seller a cash payment of RMB $14,000,000 (equivalent to US$ 1,750,000) specified in Section 1.02 to the Seller.
Delivery by the Buyer. In addition to the deliveries called for by Article VI hereof, the Buyer shall make payment of the Estimated Purchase Price in funds immediately available in Erie, Pennsylvania on the Closing Date.
Delivery by the Buyer. At the Closing the escrow agent holding the funds shall, on behalf of the Buyer, deliver the payment provided for in Section 1.02 hereof to the Seller.
