Delivery Conditions. (a) The Delivery Conditions are as follows: (i) At Seller’s expense, Seller shall have secured all Governmental and grid operations approvals as are necessary for the safe and lawful operation and maintenance of the Project and to enable Seller to deliver Distribution Services at the Initial Contract Capacity to Buyer. (ii) Seller shall have posted collateral as required by Section 10.4(a)(ii). (iii) Seller shall have submitted for Buyer’s review a Project Safety Plan incorporating the elements described in Appendix XII, which must demonstrate Seller’s ability to comply with the Safety Requirements on the IDD and for the Delivery Term. (iv) Seller shall have delivered to Buyer the Safety Attestation in accordance with Section 2(a) of Appendix XIV. (v) As of the IDD, no Seller’s Event of Default shall have occurred and remain uncured. (vi) At Seller’s expense, Seller or Contractor shall have constructed or caused to be constructed the Project as of the IDD and submitted the Certification for Commercial Operation in Appendix VII-A to enable (A) Seller to satisfy the obligations of the Seller herein and (B) the Project to deliver Distribution Services at the Contract Capacity to Buyer. (vii) At Seller’s expense, Seller shall have installed any necessary metering to deliver the applicable Distribution Services in accordance with Section 4.1 and any applicable tariffs of the Utility Distribution Company. (viii) Seller shall have met each Critical Milestone set forth in Appendix VI pursuant to Section 2.3.

Delivery Conditions. The Buyer’s obligation to purchase the Aircraft is conditional upon, amongst other things, the Aircraft complying on the Delivery Date with the Delivery Conditions set out in Schedule 9.
Delivery Conditions. Each delivery of the Goods shall be accompanied with a delivery note, which shall be confirmed by both Parties upon handover and takeover of the Goods, and shall be used as the Goods handover protocol. The delivery note shall contain: identification data of the Seller and the Buyer, the number and date of issue of the Delivery Note, position/serial number according to the Contract; contract number; Material code according to IS in STC format; the number of the supplied units without defects with a divided according to individual types, the number of delivered pieces of defective Prelaminates according to paragraph 5 of this article, the total number of Prelaminates delivered, place and date of handover and acceptance (hereinafter the "delivery note") The Seller shall notify the Buyer to the e-mail address: xxxxxxxxxx@xxx.xx the expected date and time when the Goods will be delivered to the Buyer's address, at least 2 working days before the day of dispatch from the Seller's plant. In the event that the Seller uses a carrier that allows you to monitor the status of the delivery, the Seller will also send the Buyer the number of the bill of lading. The Seller shall immediately inform the Buyer about expected failure to arrive on time in order to solve this situation. The Seller shall deliver the Goods on business days and during the Buyer's regular working hours, i.e. between 6:00 a.m. and 2:00 p.m., unless stipulated otherwise by the Buyer. Outside these hours, it is only possible to receive Goods following a previous agreement made over the phone between the Seller and the Buyer's representative stated in this Contract. Within a single delivery must not content: a) the number of defective Prelaminates higher than 2% of the total number of Prelaminates delivered, b) no sheet in the format of 3x7 positions, on which the number of defective Prelaminates will be greater than 2, Within one partial delivery, the tolerance of the number of delivered Prelaminates is +/- 3% of the ordered number of Prelaminates. The Seller undertakes to provide the subject of performance for transport and subsequent storage in a manner that is usual for this type of subject of performance in business relations so as to ensure the preservation, protection and quality of the subject of performance. Delivery Conditions. 6.1 The Software Product is delivered in the form of temporary licenses which will be converted into permanent licenses upon full payment of the sums owed by the Buyer to the Seller. 6.2 The supplied Service and/or Product must comply with the Order. It may however be the subject of several deliveries.
Delivery Conditions. Before delivery of the Device to the Client’s Production Plant I, the Device acceptance testing shall be performed at the Contractor’s manufacturing plant (acceptance tests FAT) in the presence of the Contractor and the Client. The Contractor shall give a written advance notice to the Client so that the Client could take part in the factory acceptance process. During the Device factory acceptance tests (FAT) the acceptance tests specified in Annex No. 8 hereof shall be performed, whose purpose is to obtain test samples, which will be evaluated by the Client next working day of their receipt and which shall be approved by report on the successful acceptance tests result. This evaluation shall demonstrate the Device quality and make; the necessary testing materials shall be provided by the Client, at its expense. In the event of a positive evaluation of the test samples, the Client informs the Contractor of this fact and sends it to him to sign 2 counterparts of a Protocol of the acceptance tests (FAT) , whose template is attached as Annex No. 4, which is an integral part hereof. In this Protocol the Contracting Parties will confirm that the Device meets the quality and make conditions specified herein. In the event that the evaluation of the samples does not confirm compliance with the required parameters the Client sends to sign by the Contractor 2 counterparts of a report of the acceptance test results with their comments and reservations, including the setting of the period of 2 weeks for elimination of any inconsistencies identified. If the Contractor has his own template of the report of the acceptance test results, it may be attached to the Client’s Protocol or report of the acceptance test as an annex. The above procedure can be repeated once, provided that subsequent acceptance tests must be initiated no later than 2 weeks after the notification of the Client of the result of the evaluation of the previous acceptance tests. In case of two unsuccessful factory acceptance tests, the Client has the right not to take over the Device and is entitled to withdraw from the Contract. If the results of the acceptance tests confirm that the Device complies with requirements specified herein and a Protocol of the acceptance tests (FAT) has been signed, the Contractor shall arrange for transportation of the Device to the Client’s Production plant I in accordance with Article IV Paragraph 3 hereof. Delivery Conditions. All deliveries of Products pursuant to this Agreement shall be FOB Supplier’s port of shipment, as defined in Incoterms 2010. Risk and title to the Products shall pass to Silk Road Medical as defined by such Incoterm. Transport of all Products shall be performed by a service provider selected and contracted by Silk Road Medical. Alternative transport is permitted only after written approval of Silk Road Medical. Silk Road Medical may request that Supplier ship Products by premium freight. In the event Supplier pays any related freight charges, such charges shall be invoiced to Silk Road Medical and Silk Road Medical shall reimburse Supplier for such charges.

Delivery Conditions. The Aircraft will be delivered "AS IS, WHERE IS" at the Delivery Location and will conform to the conditions outlined in this Schedule 4. The actual condition of the Aircraft at Delivery will be documented on the Acceptance Certificate as noted in Schedule 5 of the Aircraft Lease Agreement.

All invoices submitted must be original. 9.7. Deliveries not complying with the specifications and order form will be returned to the contractor at the contractor’s expense. 9.8. No locally manufactured product may be substituted during the contract period with an imported product.
