Delivery of Closing Certificates. Seller shall have delivered to the Buyer a certificate dated as of the Closing Date to the effect set forth in Paragraphs 7.1 to 7.8 hereof.
Delivery of Closing Certificates. 16/6 and the Principal Shareholder shall have executed and delivered to DRC certificates dated as of the Effective Time upon which DRC may rely, certifying that the statements made in Sections 6.1 and 6.2 are true, correct and complete as of the Effective Time.

The Company shall have received a certificate in form and substance reasonably acceptable to the Company, dated as of the Closing Date, signed by the Secretary of Parent, certifying (A) the continued effectiveness of Parent’s Charter Documents, (B) the names and incumbency of each of the officers of Parent executing this Agreement and each of the other Transaction Agreements and (C) the valid adoption of resolutions of the Board of Directors of Parent approving this Agreement and the consummation of the Transactions (including the Merger).
