DELIVERY PROGRAM. 6.1 The Aircraft shall be offered for inspection and acceptance to Buyer at BRAD's facility in Montreal, Quebec during the months set forth in Appendix II attached hereto (the "Scheduled Delivery Dates").
DELIVERY PROGRAM. 6.1 The Aircraft shall be offered for inspection and acceptance to Buyer at Bombardier's facility and during the month(s) set forth in the applicable Supplement.
DELIVERY PROGRAM. (a) Franchisee acknowledges the need for effective implementation of the Delivery Program and, to the extent any Franchised Restaurant participates in the Delivery Program, it agrees to sign and maintain an agreement in place on terms (other than pricing terms) approved by FRANCHISOR with an Approved Supplier and/or Delivery Aggregator responsible for creating and managing an online platform or a call center, or both, used to place customers’ orders with the Franchised Restaurants for the Delivery Program. Franchisee shall be solely responsible for compliance with the obligations under its contract with such an Approved Supplier and/or Delivery Aggregator, including, without limitation, any payments due for order processing costs, call center costs, handling and delivery costs, and shall indemnify and hold PLK and any of PLK’s Affiliates harmless in respect to any damage that may arise as a breach of Franchisee’s obligations to such an Approved Supplier and/or Delivery Aggregator. (b) To the extent any Franchised Restaurant in the Territory begins participation in the Delivery Program, Franchisee shall maintain an uninterrupted Delivery Program during the Term. Franchisee acknowledges that the Delivery Program is an integral part of the Popeyes System and it therefore commits to the maintenance and development of the Delivery Program strictly in compliance with the Delivery Requirements and the terms of this Agreement, including, without limitation, standards of uniformity, licensing, authorizations and/or approvals, as well as compliance with applicable laws and insurance requirements. In this respect, PLK has provided Franchisee with the necessary materials, including the Confidential Operating Manual, in relation to the establishment and development of the Delivery Program and Franchisee agrees to fully comply with such materials applicable to the Delivery Program, including the Confidential Operating Manual. (c) Franchisee shall ensure its compliance with any of its obligations as the data controller or data processor of any personal data of any Franchised Restaurant’s customers, in accordance with all applicable data protection laws. Fxxxxxxxxx agrees to indemnify and hold FRANCHISOR and all FRANCHISOR Indemnified Parties harmless for any loss or damages whatsoever that may arise as a result of Franchisee’s breach of its data protection obligations.
DELIVERY PROGRAM. SELLER will establish the Daily Nominated Quantity for any day in the manner described in Clause 1 of this Agreement. Except in the case of Extenuating Circumstances (as defined in Clause 22) SELLER shall deliver the Daily Nominated Quantity that was nominated. Except for Extenuating Circumstances, BUYER shall fully comply with the obligation of purchasing and loading the accepted Daily Nominated Quantity. BUYER shall immediately notify SELLER in writing if such Extenuating Circumstances occur, whereupon SELLER will be free to dispose of the Crude. SELLER will re-establish supply once BUYER returns operations to normal conditions. SELLER will reestablish supply once BUYER’s operations return to normal. If BUYER’s inability to receive the Crude lasts more than thirty (30) calendar days, SELLER may consider the Agreement unilaterally terminated without application of any sanctions, indemnities or compensation for the account of either of the PARTIES. In the event that SELLER is not able to supply the Crude nominated in the Daily Nominated Quantity due to Extenuating Circumstances, SELLER shall immediately inform BUYER in writing of such circumstances and in any event shall do everything possible to report the issue within a maximum term of forty-eight (48) hours. Once the emergency has been resolved, SELLER will announce the date for reactivation of the nominations and sales of Crude. If the lack of delivery of the Crude included in the Daily Nominated Quantity that has been nominated in accordance with Clause 1 of this Agreement extends beyond a term of thirty (30) calendar days, BUYER may consider the Agreement unilaterally terminated without this generating any sanctions, indemnities or compensation for the account of either of the PARTIES.
DELIVERY PROGRAM. The Aircraft shall be offered to Buyer for inspection and acceptance at Bombardier's facility in Dorval, Quebec during the calendar months for each year set forth in Schedule 2 to this supplement (the "Scheduled Delivery Months").
DELIVERY PROGRAM. (a) If requested in the Order, the Supplier must, within seven days of a written request by Krannich Solar, provide Krannich Solar with a program which identifies all major milestones in the manufacture and delivery of the Goods. (b) The supply of a program does not affect the obligation of the Supplier to deliver the Goods by the Date for Delivery.
DELIVERY PROGRAM. 4.1 The Aircraft shall be offered for inspection and acceptance to Buyer at Bombardier's facility in Montreal, Quebec during the calendar quarters for each year set forth below (the "Scheduled Delivery Dates"). Bombardier shall advise Buyer of the scheduled month of delivery of each Aircraft (which month Bombardier shall ensure will fall within the applicable quarter listed below) eighteen (18) months prior to such delivery such that the Aircraft are scheduled for delivery evenly throughout the delivery schedule, but in any event no less than thirty (30) days from the preceding delivery.
