Delivery Windows. UPS may provide UPS My Choice Members an estimated delivery window (typically a four hour window) for inbound shipments. By UPS establishing an estimated delivery window it is not guaranteeing delivery of the shipment during such window. UPS may provide UPS My Choice Personal Members the ability to choose two hour delivery window for a shipment. If the window You select is confirmed by UPS, UPS guarantees to deliver the shipment in the selected window. If UPS is unable to deliver the shipment before the end of the confirmed window, your sole and exclusive remedy will be that UPS will not charge the fees for delivery in the confirmed window. UPS will have no liability for any damages based on its failure to deliver the shipment before the end of the confirmed window.
Delivery Windows. Key drop schedules will be developed for the Restaurants. Delivery windows are 225 hours with a black-out period from 11:15 a.m. to 1:45 p.m. seven (7) days per week.

In the event of changes in these restrictions, WO shall provide updated information and the parties shall evaluate such information and make such scheduling changes as necessary to comply with any restrictions so imposed. UNFI will apply its routing system to prepare a routing and constraint analysis, taking into account, in order of priority, (a) Store delivery restrictions such as curfews, ordinances, neighborhood covenants, landlord regulations, (b) WO desired delivery times, (c) UNFI's route departure schedule, (d) UNFI warehouse and transportation operating constraints such as shift schedules. The routing schedule (the "Delivery Schedule") adopted based on the routing and constraint analysis will define the following: (1) each Store's days of delivery per week, (2) the hours of the delivery window for each store delivery, (3) delivery days and delivery windows per day for special promotional events, and (4) delivery days and delivery windows for holiday week shipments. After the initial development of the Delivery Schedule, a designated WO employee and UNFI will meet monthly, if requested by WO or UNFI, or quarterly, if no monthly meetings are held, to review the Schedule and make any necessary modifications.
