Description of Administration Services. (a) Services on a Continuing Basis. (i) Prepare quarterly broker security transactions summaries; (ii) Prepare monthly security transaction listings; (iii) Prepare for execution and file the Fund's federal and state tax returns; (iv) Prepare and file the Fund's semiannual reports with the SEC on Form N-SAR; (v) Prepare and file with the SEC the Fund's annual and semiannual shareholder reports; (vi) Assist with the preparation of registration statements and other filings relating to the registration of Shares; and (vii) Monitor the Fund's status as a regulated investment company under Sub-Chapter M of the Internal Revenue Code of 1986, as amended.
Description of Administration Services. The Administrator will perform the following administration services: (a) Assist the Fund in the selection of other service providers, such as independent accountants, law firms and proxy solicitors. (b) Oversee (i) the preparation and maintenance by the Fund's custodian, transfer agent, dividend disbursing agent and fund accountant in such form, for such periods and in such locations as may be required by applicable United States law, of all documents and records relating to the operation of the Fund required to be prepared or maintained by the Fund or its agents pursuant to applicable law; (ii) the reconciliation of account information and balances among the Fund's custodian, transfer agent, dividend disbursing agent and fund accountant; (iii) the transmission of purchase and redemption orders for Shares; and (iv) the performance of fund accounting, including the calculation of the net asset value of the Shares. (c) Oversee the performance of administrative and professional services rendered to the Fund by others, including its custodian, transfer agent and dividend disbursing agent as well as legal, auditing, shareholder servicing and other services performed for the Fund. (d) File or oversee the filing of each document required to be filed by the Fund with the SEC in either written or, if required, electronic format (e.g., pursuant to the electronic data gathering analysis and retrieval system, or "XXXXX"). (e) Provide expense and financial information for the periodic updating of the Registration Statement. (f) Provide expense and financial information for proxy and information statements, repurchase offers, and related communications to shareholders, as applicable. (g) Assist the Fund's investment adviser and other appropriate persons in monitoring the Fund's compliance with applicable securities laws and regulations as well as with the Fund's fundamental and non-fundamental policies set forth in the Prospectus. (h) Produce quarterly compliance reports for the Fund's Board of Trustees. (i) Prepare, file and maintain the Fund's organizational documents and minutes of meetings of the Fund's Board of Trustees, any committees thereof, and shareholders. (j) Make such filings as are necessary to maintain the Fund's existence and good standing under applicable state law. (k) Maintain CUSIP, ticker, news media and tax identification number listings. PFPC will provide the following administration functions: (i) Prepare quarterly broker security transactions summaries; (ii) supply various normal and customary Portfolio and Fund statistical data as requested on an ongoing basis; (iii) Prepare monthly security transaction listings; (iv) Prepare for execution and file the Fund's Federal and state tax returns; (v) Prepare and file the Fund's Semi-Annual Reports with the SEC on Form N-SAR; (vi) Prepare and file with the SEC the Fund's annual, semi-annual, and quarterly Shareholder reports; or (vii) Assist with the preparation of registration statements and other filings relating to the registration of Shares; (viii) Monitor the Fund's status as a regulated investment company under Sub-chapter M of the Internal Revenue Code of 1986, as amended; (ix) Coordinate contractual relationships and communications between the Fund and its contractual service providers; (x) Qualify the Class O Shares for sale in each state in which the Fund's Board of Directors determines to sell the Class O Shares and make all filings and take all appropriate actions necessary to maintain and renew the registration of the Class O Shares; (xi) Monitor the Fund's compliance with the amounts and conditions of each such state qualification; and (xii) Maintain the Fund's fidelity bond as required by the 1940 Act and obtain a directors and officers liability policy.

(xii) Monitor each Portfolio of the Fund for compliance with the requirements of Section 817(h) of the Internal Revenue Code of 1986, as amended, and the rules thereunder. (xiii) Provide such information and reports to the Adviser as shall be mutually agreed upon by PFPC and the Adviser to assist the Adviser in monitoring the Fund for compliance with the terms of its Declaration of Trust, By-Laws and resolutions, and any amendments thereto, and with any representations made to regulatory authorities, and any amendments thereto, and in monitoring each Portfolio for compliance with the investment restrictions and policies set out in the most recent prospectus and Statement of Additional Information as filed with the Securities and Exchange Commission, and any amendments thereto.
