Description of the Services. The services over the term of the contract will include infrastructure projects: 1) the management and integration of projects. from their conception to completion in support of the Employer’s objectives and aspirations; 2) the management of the NEC3 contracts and Project Manager that are entered into for engineering and construction works, services, supplies and professional services including the compiling and issuing of orders in terms of framework agreements; 3) the management of the formal handover of completed facilities to the facilities management unit; 4) the gathering of data and the drafting of reports required by the Employer and Others in accordance with the Employer’s requirements including progress reports on initiatives to attain secondary procurement objectives; 5) the management of the schedule for the proposed projects and cash flows; 6) the compilation and finalisation of procurement documents, the leading of tender processes and the evaluation of submissions and the development of tender evaluation reports; and 7) the management of a document control system. The Consultant shall monitor and report on a regular basis to the Employer on at least the following: 1) time, cost (including projected cash flow) and scope of projects; 2) the quality of the work that is executed; 3) the attainment of development targets / secondary procurement objectives; and 4) regulatory compliance. Exiting information, if any, pertinent to a Task Order shall be identified in the Task Order.

Description of the Services. Service Provider will provide to Service Recipient all of the Services set forth on Exhibit A (as such exhibit may be amended or supplemented from time to time) as mutually agreed. Notwithstanding the contents of Exhibit A, Service Provider agrees to respond in good faith to any reasonable request by Service Recipient for access to any additional services that are necessary for the operation of the business of Service Recipient and which are not currently contemplated by Exhibit A, at a price to be agreed upon after good faith negotiations between the parties. Description of the Services. The Service Provider shall provide, or cause to be provided, Transition Services (as defined below) and Additional Services (as defined below) in support of the SpinCo Business or the Citrix Business, as applicable. The Service Recipient shall use its commercially reasonable efforts to provide such assistance and resources as are required to receive the Services from the Service Provider, including without limitation the purchase of any software and hardware assets required to receive the Services, in accordance with the terms and conditions of this Agreement, provided that the Parties shall bear equally the costs and expenses incurred in connection with acquiring any such assets. The Service Provider shall be relieved of its obligations hereunder to the extent that (a) the Service Recipient fails to provide the assistance or resources referred to in the previous sentence, (b) such failure renders performance by the Service Provider of its obligations hereunder unlawful or (in the Service Provider’s reasonable determination) impracticable and (c) such failure (i) if reasonably capable of being cured, is not cured by the Service Recipient within thirty (30) days following written notice to the Service Recipient by the Service Provider of any such purported failure (it being understood and agreed that the Service Provider shall be relieved of its obligations hereunder during any such cure period), or (ii) is not reasonably capable of being cured. Notwithstanding any provision herein to the contrary, no Services provided under this Agreement shall include, or shall be construed as constituting, accounting, legal or Tax advice or shall create any fiduciary obligations on the part of the Service Provider or any of its Affiliates to any Person, including to the Service Recipient or any of its Affiliates, or to any plan trustee or any customer of any of them.

Description of the Services. 5.1. Zivver shall provide the Services included in the Offer, which Services the Customer hereby purchases in accordance with the terms and conditions of the Agreement. 5.2. During the term of the Agreement, the Customer may purchase additional services or licenses from Zivver, which shall be governed by the terms of the Agreement and which will not affect the term of the Agreement, unless the Parties explicitly agree otherwise in writing. If Zivver establishes that more accounts are created by a Customers than licenses haven been purchased, Zivver may charge the Customer for the additional accounts in line with the pricing included in the Offer. 5.3. During the term of the Agreement, the agreed number of licenses of the Customer cannot be reduced and the services cannot be downgraded. 5.4. The Customer is only permitted to use the Services in the intended manner described in the Offer and on a fair use basis. If the Customer uses the Services in any other way (e.g. using a single account with an entire organization and communicating with a substantial number of guest users or using more accounts than agreed in the Offer), then this shall constitute a material breach of the Agreement, and Zivver reserves the unilateral right and the Customer hereby accepts such right: (i) to invoice the Customer without any further notice for an amount reflecting the actual use of the Service; and/or (ii) to terminate / suspend the Services for an indefinite period of time or until a new agreement has been reached with the Customer on continuance of the Services; and/or (iii) to terminate the Agreement. 5.5. The Customer agrees that agrees that any End User permitted by the terms of the Offer to access and/or use the Service must agree to comply with the User Terms. The User Terms shall apply to any use by End Users of the Services. In the event of a conflict between the provisions of the Agreement and the provisions of the User Terms, the provisions of the Agreement shall prevail. The Customer hereby accepts the User Terms and commits to ensure that its End Users shall comply with them.
Description of the Services. Melio provides Services which generally enable United States-based businesses and freelancers (“Payors”) to transmit payments for commercial purposes to United States-based business recipients (“Recipients”), including Recipients who do not accept a Payor’s preferred payment method, (collectively “Users”). Payors may capture a Recipient invoice using their mobile device, upload an invoice electronically, import an invoice from various accounting software, or enter in invoice details manually. Such information may be used to generate a bill which can then be synched with various accounting software. Xxxxx may also partner with Recipients to facilitate their receipt of funds and crediting of customer accounts. Recipients may generate and upload invoices through the Melio Services to request payment from Payors, Recipients may request payment from Payors without uploading invoices, and Recipients may also request payment from payors that have not registered for Xxxxx’x Services. For access to and use of the Services, Xxxxx may charge Users a fee (the “Fee”) at the time of Payment submission.
