Designated Person. See §6.31.
Designated Person. Any Loan Party shall become a Designated Person; or
Designated Person. The City will designate a person to coordinate all activities with Vendor. The designated person (or a designated alternate) shall be available at all times to make decisions on behalf of the City, which shall include, but not be limited to, the approval and acceptance of all deliverable items. The designated person shall work and cooperate with Vendor, but the designated person will not be under the direction or control of Vendor and shall at no time be considered an employee or agent of Vendor.
Designated Person. The CITY shall designate a person to coordinate all Project activities with the CONSULTANT and act as the CITY’S Representative. The designated person or alternate shall be available at all times reasonably necessary to make decisions on behalf of the CITY. The designated person shall work and coordinate Project activities with the CONSULTANT; however, the designated person shall not be under the direction or control of the CONSULTANT and shall at no time be considered an employee or agent of CONSULTANT.
Designated Person. Until Lender is notified by any Borrower to the contrary in writing by registered or certified mail directed to Lender’s principal place of business, the signature upon this Agreement or upon any of the other Loan Documents of any officer, partner, manager or employee of any Borrower or of any other Person designated in writing to Lender by any of the foregoing, or of a Responsible Officer shall bind all Borrowers and be deemed to be the duly authorized act of such Borrower.
Designated Person. Customer and Supplier each agree that each will designate a single organization, department, and/or person to be the primary point of contact with the other with the ability to take action as may be required pursuant to this Agreement.
Designated Person. Until Bank is notified by Borrower to the contrary in accordance with Section 9.4, the signature upon this Agreement or upon any of the Other Agreements of any partner, manager, employee or agent of Borrower, or of any other Person designated in writing to Bank by any of the foregoing, or of a "DESIGNATED PERSON" (as that term is defined in Borrower's Secretary's Certificate of even date herewith, constituting one of the Other Agreements) shall bind Borrower and be deemed to be the duly authorized act of Borrower.
Designated Person. All Signatories must nominate a designated person (e.g., Caldicott guardian, data protection officer, Information Governance Manager other relevant manager, etc.) to be detailed on the Declaration of Acceptance and Participation with responsibility for ensuring that their organisation complies with legal and other appropriate requirements, obligations and guidance in respect of information processing and sharing. In addition, it is recommended that the designated person should also be responsible for: • internal IG and/or operational procedures and processes • the dissemination and implementation of, and monitoring and evaluating adherence to, this ISA and related guidance within their organisation • facilitating the training, advice and ongoing support to all relevant staff in respect of this ISA and associated guidance • dealing with any concerns/complaints that have been raised by people or practitioners and any other instances of non-compliance, internal or by Signatories, in accordance with agreed procedures • Ensuring that the views and rights of people are respected and acted upon, including, but not restricted to, confidentiality, subject access requests, disclosure of personal confidential data without consent, etc. • deciding upon requests to disclose information, even where the data subject has consented, to an organisation that is not a signatory of this, or other appropriate, arrangements • liaising with other signatory organisations • reviewing and commenting on any amendments to this ISA, and • Ensuring the list of signatories is up-to-date and appropriately circulated.
Designated Person. See Section 4.21(b).
Designated Person. 9.1 The Consultant shall nominate, for the Employer's approval, two senior individuals in its employment as the Designated Person and Deputy Designated Person to direct, control and manage the overall provision of the Services by the Consultant (such persons being set out in Schedule 4).
9.2 The Designated Person (and if they shall be unavailable, the Deputy Designated Person) shall receive and act on any instructions or directions given by the Employer and shall be responsible for maintaining direct and regular contact with the Employer.
9.3 The Consultant shall not replace the Designated Person and/or the Deputy Designated Person without prior consultation with and written consent from the Employer.
9.4 The Employer may at any time request the removal and replacement of the Designated Person and/or the Deputy Designated Person in which event the Consultant shall remove the Designated Person and/or the Deputy Designated Person (as the case may be) and nominate a replacement for the Employer's approval in accordance with Clause 9.1.
9.5 The Designated Person and the Deputy Designated Person shall each have full authority to act on behalf of the Consultant for all purposes in connection with this Contract and the Employer shall be entitled to rely on such authority for all purposes.
