Development and Delivery. (a) Liquid Audio Deliverables. Liquid Audio will use reasonable commercial ------------------------- efforts to deliver Deliverables to OEM promptly after development thereof in accordance with the Deliverable Schedule set forth in Attachment 2 hereof.
Development and Delivery. 4.1 Subject to the Customer's compliance with Clauses 6, 7 and 9, the Supplier will use all reasonable endeavours to:
(a) attain each Milestone by the relevant date set out in Schedule 2; and
(b) complete the development of the Software and deliver one copy of the Software to the Customer electronically on or before the Target Delivery Date.
(c) deliver the software on the servers of the customer at the customer’s location.
4.2 If the Supplier fails to deliver the Software by the end of the Target Delivery Date, then the Supplier must do so as soon as practicable following the Target Delivery.
Development and Delivery. 4.1 Red Mile shall, at its sole cost and expense, perform or ensure the performance of all services necessary to develop a working, saleable, top quality Product to (a) meet the milestone dates attached hereto as Schedule B, (b) develop the Product so as to ensure ease of translation into the languages below (including, but not limited to, “double byte” compatibility) and (c) secure final approval by SCE in each portion of the Territory (collectively, “Final Approval”). Red Mile’s services hereunder shall not be considered complete until the Product is localized into English, French, German, Spanish and Japanese, and Final Approval is granted in writing. Text translations shall be at SOE’s expense; integration of such translations shall be at Red Mile’s expense. As between the parties, Red Mile shall bear all cost and expense of programming, artwork, sound, music and other developmental services for the Product up through Final Approval (and any post-approval bug fixes which may reasonably be required by SOE or SCE); provided, however, that if SOE requires Red Mile to incorporate sound and/or music into the Product that is in addition to or different than the sound or music that had been incorporated into the Product as it exists as of the Effective Date, SOE shall provide such additional and/or different sound/music to the Product Developer at SOE’s expense (and the sound/music shall be incorporated into the Product at no additional charge).
4.2 SOE shall, at its sole cost and expense, test the Product (or ensure that the Product is tested) for bugs and full compliance with TRC’s and all other requirements and standards promulgated by SCE. Red Mile and the Product Developer shall, at their expense, make whatever changes and fixes are necessary to correct such bugs and comply with such TRC’s and requirements and standards, and provide the appropriate number of gold masters for replication. 4.3 Promptly following the Effective Date, SOE and Red Mile (in consultation with the Product Developer) shall agree on a list of Product content enhancements and changes (which may be updated throughout the remainder of the development cycle) – the implementation of which shall require no more than, in the aggregate, six weeks of industry standard development time. Each Milestone delivery to SOE shall include all executable files necessary for SOE to rebuild and test the deliverable. Following...
Development and Delivery. SDT has previously Delivered the Software to the Site ("Delivery"). Customer agrees the Software has been installed on Customer's system and contains the functionality described in Exhibit A.
Development and Delivery. Basis of Agreement
4.1 Following Customer expressing a requirement for Services and/or Deliverables, the Supplier will prepare and submit to the Customer a draft Statement of Work. A draft Statement of Work shall remain valid for 30 days from its date of submission.
4.2 If the Customer wishes to proceed with the draft Statement of Work (with any amendments that may be agreed by the parties) Supplier shall prepare a final Statement of Work for execution.
4.3 Once executed a Statement of Work shall constitute a binding contract between the parties under the terms and conditions of this agreement.
4.4 A Statement of Work shall not take effect unless signed and delivered by an authorised signatory of each party.
4.5 Any work performed by Supplier before the date of this agreement or in respect of a Statement of Work, before the Statement of Work is signed shall be governed by the terms and conditions of this agreement and/or the relevant Statement of Work.
4.6 To the extent of any conflict between such provisions and these terms, the provisions set out in these terms shall take precedence, save where a term set out in a Statement of Work is expressly stated to override these terms. For the avoidance of doubt however any provisions set out in a Statement of Work only affect that Statement of Work and not any other contracts that may be formed between the parties.
4.7 Subject to the Customer's compliance with Clauses 6, 7 and 9, the Supplier will use all reasonable endeavours to:

In consideration of the payment of the non-recurring engineering fees payable by Microsoft pursuant to section I of Exhibit D, BI shall develop for Microsoft the Initial Software in accordance with the specifications set forth in Exhibit B (the “Specifications”) and on or before the associated dates set forth in Exhibit B or such other dates as the Parties may agree upon in writing.

Development and Delivery. 2.1. SONIC FOUNDRY agrees to develop and deliver to HP the software programs and documentation set forth in Exhibit A, in accordance with the deliverables and milestones set forth in Exhibit A and in accordance with the Test Requirements set forth in Exhibit A.
2.2. SONIC FOUNDRY shall deliver all Error Corrections to HP as soon as it delivers such Error Corrections to any other customer or in accordance with the procedures set forth in the Support section below, whichever is earlier.

The date on which I-trax delivers the Production Interface Engine to UICI is the "Engine Delivery Date."
