Director and Officer. If requested by the Corporation, the Executive shall agree to serve as a Director and/or Officer of the Corporation or its subsidiaries and affiliates, without additional compensation.

Obligations of Merger Co Parent will take all action necessary to cause Merger Co. to perform its obligations under this Agreement and to consummate the Merger on the terms and conditions set forth in this Agreement. Section 8.07. NYSE Listing Parent shall use its reasonable best efforts to cause the shares of Parent Common Stock to be issued in connection with the Exchange Offer and the Merger to be listed on the NYSE, subject to official notice of issuance. Section 8.08. Acquisitions of Shares Neither Parent nor Merger Co. will acquire any shares of Company Common Stock prior to the Effective Time or the termination of this Agreement, other than shares of Company Common Stock purchased pursuant to the Offer or the Exchange Offer.
