Director Support Agreements Clause Samples
Director Support Agreements. Each of the Director Support Agreements shall be in full force and effect and the director that is party thereto shall not be in material breach of such Director Support Agreements.
Director Support Agreements. Simultaneously with the execution of this Agreement, each of the directors of HBI set forth on Confidential Schedule 5.23 shall have executed and delivered to TCB a Director Support Agreement with TCB (each a “Director Support Agreement”) in the form attached hereto as Exhibit “C”.
Director Support Agreements. Each of the Directors of the Bank shall have entered into a Director Support Agreement in substantially the form attached as Exhibit A hereto.

Simultaneously with the execution of this Agreement, each of the directors of FBC set forth on Confidential Schedule 5.24 shall enter into a Director Support Agreement with FFIN (each a “Director Support Agreement”). The form of the Director Support Agreement is attached as Exhibit “D” hereto.
Director Support Agreements. State National BHC shall have received from each of the persons identified on Schedule 8.07 a Director Support Agreement with State National BHC to become effective on the Effective Date, the form of which is attached as Exhibit B hereto.

Simultaneously with the execution of this Agreement, each of the directors of TBT set forth on Confidential Schedule 5.24 shall have executed and delivered to FFIN a Director Support Agreement with FFIN (each a “Director Support Agreement”) in the form attached hereto as Exhibit “C”.
Director Support Agreements. Parent shall have received a duly executed copy of each Director Support Agreement contemporaneously with the execution of this Agreement from each of the individuals set forth on Schedule 7.2(j), and each such agreement shall be in full force and effect as of the Effective Time.

Simultaneously with the execution of this Agreement, each of the directors of the Bank set forth on Confidential Schedule 5.26 shall enter into a Director Support Agreement with FFIN (each a “Director Support Agreement”). The form of the Director Support Agreement is attached as Exhibit “B” hereto.
Director Support Agreements. FBLB will have furnished Heartland with executed copies of the Director Support Agreements in the form and substance reasonably acceptable to Heartland.
