DIRECTORS’ RECOMMENDATION. The Board of Directors, having considered all aspects of the joint venture, is of the opinion that the joint venture is in the best interest of the Company.
DIRECTORS’ RECOMMENDATION. Save for TSLKT, LKH and TKH, the Board of GENP after having considered all aspects of the Proposed Transactions are of the opinion that the Proposed Transactions are in the best interest of GENP.
DIRECTORS’ RECOMMENDATION. The Board (with the exception of Capt Xxxxxxx), having considered all aspects of the Proposed Settlement Agreement, is of the opinion that the Proposed Settlement Agreement is in the best interest of Perisai.
DIRECTORS’ RECOMMENDATION. The Board of MQ, after having considered all aspects of the Agreement, is of the opinion that the Agreement is in the best interest of the MQ Group and its shareholders.
DIRECTORS’ RECOMMENDATION unless the Cytopia Board is entitled to change, withdraw or modify its recommendation by clause 6.8(b) and this remains the case following compliance with clause 6.8(c), include in the Scheme Booklet a statement by the Cytopia Board:
(1) unanimously recommending that Cytopia Shareholders and Cytopia Optionholders vote in favour of the Share Scheme and the Option Scheme (as applicable), in the absence of any Superior Proposal;
(2) that each Cytopia Board member intends to vote, or procure the voting of any Director Cytopia Shares (as applicable) held at the time of the Share Scheme Meeting, in favour of the Share Scheme at the Share Scheme Meeting; and
(3) that each Cytopia Board member intends to vote, or procure the voting of any Cytopia Options which it controls at the time of the Option Scheme Meeting, in favour of the Option Scheme at the Option Scheme Meeting;
DIRECTORS’ RECOMMENDATION. Save and except XXX Xxxxxx Xxxx Xxxxxxxxx Jamalullail, who has abstained from deliberations and making any decision on the Shareholders’ Agreement; the Board, having considered all aspects of the Shareholders’ Agreement, is of the opinion that the entering into the Shareholders’ Agreement is in the best interest of the F&NHB Group.
DIRECTORS’ RECOMMENDATION. The Board wishes to highlight that Encik Ahmad Xxxxxx Xxxxxx Bin Xxxxxxx (“Xxxxx Xxxxxx”), the Independent Non-Executive Director of Minetech, is also an Independent Non-Executive Chairman of CSH. Even though Xxxxx Xxxxxx holds common directorship in both Minetech and CSH, he does not have any direct or indirect interest in Minetech and CSH. In view of good corporate governance, he has however voluntarily abstained and will continue to abstain from all Board deliberations and voting in relation to the Disposal. The Board of Directors (save for Xxxxx Xxxxxx), after considering all the aspects of the Disposal, is of the opinion that the Disposal is in the best interest of the Minetech Group.
DIRECTORS’ RECOMMENDATION before 8.00am on the Second Court Date, a majority of the Independent Directors do not:
(i) change or withdraw their recommendation to Securityholders as set out in clause 5.6; or
(ii) otherwise make any public statement that suggests that the Schemes are no longer so recommended;
