Disclosure Controls; Xxxxxxxx-Xxxxx. (a) TGE has established and maintains “disclosure controls and procedures” (as defined in Rules 13a-15(e) and 15d-15(e) of the Exchange Act) that are designed to provide reasonable assurance that the information required to be disclosed by TGE in the reports that it files or submits under the Exchange Act is accumulated and communicated to management of TGE GP, including its principal executive officer and principal financial officer, as appropriate, to allow timely decisions regarding required disclosure to be made. (b) TGE, and to Sellers’ Knowledge, the directors and officers of TGE GP, in their capacities as such, are in compliance in all material respects with all applicable provisions of the Xxxxxxxx-Xxxxx Act of 2002, as amended, and the rules and regulations promulgated thereunder, and any applicable requirements of a national securities exchange, in each case, that are effective and applicable to TGE. (c) The representations and warranties contained in this Section 4.5 do not address Tax matters, employee and TGE Benefit Plan matters or environmental matters, which are addressed only in Section 4.8, Section 4.10 and Section 4.13, respectively.

(b) TGESRLP, and to Sellers’ Seller’s Knowledge, the directors and officers of TGE SRLP GP, in their capacities as such, are in compliance in all material respects with all applicable provisions of the Xxxxxxxx-Xxxxx Act of 2002, as amended, and the rules and regulations promulgated thereunder, and any applicable requirements of a national securities exchange, in each case, that are effective and applicable to TGESRLP.
