Disclosure Documents and Applications. None of the information supplied or ------------------------------------- to be supplied by or on behalf of ABD ("ABD Supplied Information") for inclusion in (a) the proxy statement to be sent to the shareholders of ABD; (b) the fairness hearing documents to be filed with the Commissioner of Corporations; and (c) any other documents to be filed with the FRB, the Commissioner of Insurance or any other Governmental Entity in connection with the transactions contemplated in this Agreement, will, at the respective times such documents are filed or become effective, or with respect to such proxy statement when mailed, contain any untrue statement of a material fact, or omit to state any material fact required to be stated therein or necessary in order to make the statements therein, in light of the circumstances under which they were made, not misleading.
