Common use of Disclosures and Announcements Clause in Contracts

Disclosures and Announcements. Announcements concerning the transactions provided for in this Agreement by the Company on the one hand, and Sellers on the other hand, shall be subject to the approval of the other party in all essential respects, except that approval of the Sellers or the Company, as the case may be, shall not be required as to any statements and other disclosures of information which the other party may be required to make pursuant to any rule or regulation of the Securities and Exchange Commission, the Nasdaq Stock Market or any applicable law.
