Announcements concerning the transactions provided for in this Agreement by Buyer, Company or Shareholders shall be subject to the approval of the other parties in all essential respects, except that approval of the Shareholders or Company shall not be required as to any statements and other information which Buyer may submit to the Securities and Exchange Commission or Buyer's stockholders or be required to make pursuant to any rule or regulation of the Securities and Exchange commission, the National Association of Securities Dealers, Inc. or the Nasdaq Stock Market, Inc. or otherwise required by law.
