Common use of Disclosures and Announcements Clause in Contracts

Disclosures and Announcements. Both the timing and the content of all disclosure to third parties and public announcements concerning the transactions provided for in this Agreement by the Buyer or Seller shall be subject to the approval of the other in all essential respects, except that such other party’s approval shall not be required as to any purely factual information which a party may be required to file with the Securities and Exchange Commission, NYSE or as otherwise required by law.

Disclosures and Announcements.
