Common use of Disclosures and Announcements Clause in Contracts

Disclosures and Announcements. Both the timing and the content of all disclosure to third parties and public announcements concerning the transactions provided for in this Agreement by either Company, Parent or Buyer shall be subject to the approval of the other parties in all essential respects, except that no approval shall be required but prior written notice shall be given as to any statements and other information which a party may submit to the Securities and Exchange Commission, any stock exchange or such party's stockholders or be required to make pursuant to any rule or regulation of the Securities and Exchange Commission or otherwise required by law.
