Discounts and Allowances. Upon the granting of any discounts, allowances or credits by a Credit Party in excess of $250,000 or not in the ordinary course of business and which in either case are not shown on the face of the invoice for the Domestic Account involved, Interface, on behalf of such Credit Party shall promptly report such discounts, allowances or credits, as the case may be, to the Collateral Agent and in no event later than the time of its submission to the Collateral Agent of the next status report as required by Section 7.20. In the event any amounts due and owing in excess of $250,000 are in dispute between any Credit Party, and any Account Debtor, Interface, on behalf of such Credit Party shall provide the Collateral Agent with a report thereon, explaining in detail the reason for the dispute, all claims related thereto and the amount in controversy. During the existence of an Event of Default, and without affecting any Credit Parties’ liability with respect to the Obligations, the Collateral Agent, in the exercise of its sole discretion, may settle disputes and otherwise deal with the Account Debtors and Interface, on behalf of the Credit Parties, shall reimburse the Collateral Agent as a part of the Obligations any reasonable out-of-pocket expenses incurred by the Collateral Agent in connection therewith.
Discounts and Allowances. Operator shall take advantage of and credit to the Company all cash and trade discounts, freight allowances and equalization, annual volume and other allowances, credits, salvages, commissions, insurance discount dividends and retrospective premium adjustments, and other such items which accrue.
