Discretionary services. (A) The Sub-Advisor, at its expense, will furnish continuously an investment program for that portion of any Fund identified on Schedule B the management of which is allocated from time to time by the Manager or PIL to the Sub-Advisor (an “Allocated Sleeve”). The Manager or PIL, as the case may be, shall, in its sole discretion, determine which Funds will have an Allocated Sleeve and the amount of assets allocated from time to time to each such Allocated Sleeve; provided that, with respect to any Fund, the Trustees of such Fund must have approved the use of the Sub-Advisor prior to the creation of an Allocated Sleeve for such Fund. The Sub-Advisor will determine what investments shall be purchased, held, sold or exchanged by any Allocated Sleeve and what portion, if any, of the assets of the Allocated Sleeve shall be held uninvested and shall, on behalf of the Fund, make changes in the Fund’s investments held in such Allocated Sleeve.
(B) The Manager may, and in the case of a PIL-Advised Sleeve, PIL may, each at its discretion, also request the Sub-Advisor to provide assistance with purchasing and selling securities for any Fund, including the placement of orders with broker-dealers selected in accordance with Section 1(d), even if the Manager or PIL, as the case may be, has not established an Allocated Sleeve for such Fund.
(C) The Sub-Advisor shall place all orders for the purchase and sale of portfolio investments for any Allocated Sleeve with brokers or dealers selected by the Sub-Advisor. In the selection of such brokers or dealers and the placing of such orders, the Sub-Advisor shall use its best efforts to obtain for the related Fund the most favorable price and execution available, except to the extent it may be permitted to pay higher brokerage commissions for brokerage and research services as described below. In using its best efforts to obtain for the Fund the most favorable price and execution available, the Sub-Advisor, bearing in mind the Fund’s best interests at all times, shall consider all factors it deems relevant, including by way of illustration, price, the size of the transaction, the nature of the market for the security, the amount of the commission, the timing of the transaction taking into account market prices and trends, the reputation, experience and financial stability of the broker or dealer involved and the quality of service rendered by the broker or dealer in other transactions. Discretionary services. Client hereby consents and agrees to pay Advisory Fees due hereunder by direct debit from the Account. Advisor provides fee calculations in an invoice to the Custodian and Client. The Advisory Fees will be deducted directly from Client’s Account by Custodian and automatically remitted to Advisor. Custodian will send Client at least a quarterly statement, showing total deductions from Account, including Advisory Fees paid to Advisor. Client is encouraged to review all Advisory Fees for accuracy of the calculation.
Discretionary services. After the Closing, Investor's general ---------------------- partner (the "General Partner") intends to support the further growth and development of the business of the Company and the Thrift and intends to meet with certain officers and directors from time to time (in person or by telephone) to offer advice and counsel. Nothing herein shall be construed, however, to require the General Partner to devote any minimum number of hours or to grant the Company any cause of action against the General Partner for any failure to provide such services.
Discretionary services. The Association shall be authorized to provide the services necessary or desirable in the judgment of the Board of Directors of the Association to carry out the Association's obligations and business under the terms of this document. The functions and services which the Association is authorized to carry out or to provide may be added to or reduced or may be changed in nature (i.e., from required to discretionary or vice versa) at any time upon the affirmative vote of a simple majority of the voting rights of those voting at a duly held meeting of Members.
Discretionary services. Under these terms (excluding paragraph 1. Part B and paragraph 1 Part C), Xxxxxx will provide you with a discretionary investment service. Neither Cantor PSIL (see paragraph 4) will be liable for any loss you may suffer as a result of transferring any invalid or forged instrument. See also paragraph 13.
Discretionary services. Additional services not explicitly described in Attachment A, but which are approved by a Change Request as referenced in Sections 17 and 25 of Attachment A, include a Not to Exceed (NTE) amount for all such Discretionary Services of $1,500,000.00 for State Fiscal Years (SFY) SFY19, SFY22, SFY23, SFY24, and SFY25, an NTE amount for all such Discretionary Services of $3,000,000.00 for SFY20, and an NTE amount for all such Discretionary Services of $3,000,000.00 for SFY21. A complete schedule of Discretionary Service funds can be found in the table below in this Section 9.2. Regardless of the start/end date specified in the Change Request, Discretionary Services shall be funded by the Discretionary Services budget allocated for the SFY in which they were completed irrespective of when the work began. For work completed within a specific SFY, Contractor shall invoice and be paid based on the payment terms as set forth in the corresponding Change Request and as agreed to by the parties. For work started, but not completed within an SFY, Contractor shall proceed with work into the next SFY until work is completed and provide an informational memorandum (attached hereto as Exhibit 6) to the State Authorized Representative no later than May 15th of the current SFY. Such work that spans two SFYs shall be invoiced and paid in accordance with the payment terms as set forth in the Change Request and as agreed to by the parties. Discretionary services. SEZP will have the option to identify discretionary central support services that the Target Schools will purchase from SPS as identified in Appendix C. The cost of SPS’s discretionary central office services shall be based upon the actual cost to SPS of providing those services or a per-pupil rate determined from the total cost of providing the service across the district. SEZP and SPS will annually collaborate on the implementation of Appendix C and shall mutually agree on the use of actual costs or a per- pupil rate for each discretionary service. SEZP and SPS may in good faith adjust this per pupil amount downward if SEZP elects to use only a portion of a service.
Discretionary services. The Distributor offers to undertake further discretionary services which are subject to negotiation and separate contract and are specifically chargeable to the party using the service. In response to a complaint from a Connected Customer or the Retailer, regarding an unexpected lack of hot-water at a Connected Customer’s Premises, the Distributor will dispatch a faultsperson to investigate and rectify, if possible. If the problem is with the Connected Customer’s Installation, the faultsperson shall advise the Connected Customer and advise the options available to rectify the problem, including fixing the problem on-site, if possible, at the Connected Customer’s expense. If the problem arises from a fault within the Retailer’s equipment or the Distributor’s equipment, then the faultsperson shall immediately advise the appropriate party and negotiate the solution or follow a procedure that has previously been agreed with the Retailer or the Distributor.
Discretionary services. In addition to all other Services identified under this Agreement, Contractor may perform the following fixed based operator services for and on behalf of City:
1. Line services for general aviation aircraft.
2. Air taxi and air charter services and operations. Scheduled or nonscheduled air carrier services and support services.
3. Pilot training.
Discretionary services. City may, in the sole discretion of the SRO and/or his/her supervisor, perform the following services:
(a) Conduct patrol activities in and around the designated campuses.
(b) Conduct preliminary and follow-up investigations of crimes that occur on or near the designated campuses.
