Common use of Disruption Clause in Contracts

Disruption. The Service Provider shall take reasonable care to ensure that in the performance of its obligations under this Call Off Contract it does not disrupt the operations of the Customer, its employees or any other contractor employed by the Customer. The Service Provider shall immediately inform the Customer of any actual or potential industrial action, whether such action be by the Service Provider Personnel or others, which affects or might affect the Service Provider's ability at any time to perform its obligations under this Call Off Contract. In the event of industrial action by the Service Provider Personnel, the Service Provider shall seek Approval to its proposals for the continuance of the supply of the Services in accordance with its obligations under this Call Off Contract. If the Service Provider's proposals referred to in Clause 16.3 are considered insufficient or unacceptable by the Customer acting reasonably then the Customer may terminate this Call Off Contract for material Default. If the Service Provider is temporarily unable to fulfil the requirements of this Call Off Contract owing to disruption of normal business solely due to a Customer Cause, then subject to Clause 17 (Service Provider Notification of Customer Cause), an appropriate allowance by way of an extension of time will be Approved by the Customer. In addition, the Customer will reimburse any additional expense reasonably incurred by the Service Provider as a direct result of such disruption.
