Distribution Costs. During the term of this Agreement, the Distributor will pay the following costs: (a) Costs of all sales presentations, mailings, advertising and any other distribution efforts by the Distributor with respect to the Shares of each of the Portfolios; and (b) Compensation of any personnel of the Distributor for activities in connection with the distribution or sale of the Shares of each of the Portfolios; and (c) Any payments made in accordance with any plan adopted pursuant to Rule 12b-1 under the 1940 Act (“12b-1 Plan”).

Distribution Costs. Should a Force Majeure Event (as defined in Section 21(a)) occur which affects the cost of transportation, Seller is entitled to recalculate the freight costs and adjust the conversion costs accordingly.
Distribution Costs. Manager shall charge the Company a monthly distribution fee equal to its actual cost of packaging materials used and third-party shipping charges incurred for shipments of products to the Company's customers, plus [***]. This payment shall cover Manager's cost of distributing all products and pharmaceuticals to the Company's customers, including packaging, labeling and shipping the products. The Company shall remit all amounts owed within thirty (30) days of receipt of an invoice from Manager.
Distribution Costs. (a) Each calendar month, the Ticketing Carrier will charge the other carrier a $** distribution fee per each segment flown on 422 (Frontier) or 846 (Great Lakes) ticket stock in conjunction with an F9*/Code Share Flight. Allocation and payment of the distribution fees will be settled monthly through the ACH clearing house. (b) Once each year, by no later than 30 days after the anniversary date of this Amendment, the carriers agree to evaluate their actual distribution costs associated with the Code Share Services under the Agreement, to determine whether any adjustments or other actions are necessary. Any such revised distribution fee will apply regardless of which carrier is the Ticketing Carrier. Both carriers shall cooperate reasonably in reviewing these costs and shall negotiate in good faith, each will provide all documentation reasonably necessary for the other party to evaluate the other party’s distribution costs, and neither party will unreasonably withhold, condition or delay its consent to a change to the distribution fee. Any revisions to the distribution fee will be set forth in writing, executed by the parties, and shall be deemed to be an amendment to the Agreement. (c) Code Share Flights include any segments or flights operated by Great Lakes that utilize the designator code F9*.

Distribution Costs. Abbott shall be solely responsible for all costs associated with the following relating to the sale of the Products to the Private Pediatric Market in the Territory: transportation charges; quantity or cash discounts; service allowances; commissions; credits or allowances given on account of price adjustments, bad debts, returns, rebates or chargebacks; returns or rejections other than Product recalls; and all taxes, surcharges, assessments or governmental charges imposed upon Abbott measured by the sale, transportation or delivery of the Products by Abbott. The Parties acknowledge that certain of the foregoing costs are appropriate deductions from gross sales for the purpose of determining Net Sales as defined in Section 1.25.

Distribution Costs. All reasonable direct, actual, verifiable third party out of pocket distribution costs (collectively “Distribution Costs”) incurred by ASMC with respect to the Program shall be advanced by ASMC and shall be recouped from Gross Receipts. Distribution Costs shall include but not be limited to any Delivery Material costs incurred by ASMC, Theatrical Release costs, all home video costs (including but not limited to replication, manufacturing, shipping, returns, reserves for returns, marketing incentive programs (i.e., SPIFF and MDFs), and internal rebate programs), guild obligations (of which ASMC has prior awareness of), advertising, marketing, MPAA rating fees guild residuals, digital encoding costs, streaming, broadband, shipping, satellite feeds, reserves, bad debts not recovered, reasonable and customary discounts, rebates, allowances, adjustments, tape duplication, tape shipping, satellite feeds, advertising agency closed captioning, subtitling, taxes actually paid, Nxxxxxx ratings pro-rated on a reasonable basis to the Program., editing, re-mastering, , contract enforcement (provided any revenue recovered shall be included in Gross Receipts), , collection costs and other expenditures.
