Document Deliveries. Concurrently with the execution and delivery of this Agreement,
(a) the Authority will deliver to Project Co the documents described in Section 3 of Schedule 18 [Completion Documents]; and
(b) Project Co will deliver to the Authority the documents described in Section 2 of Schedule 18 [Completion Documents].
Document Deliveries. Purchaser shall have received from the Sellers the documents required to be delivered pursuant to Section 10(c) hereof.
Document Deliveries. The delivery of copies required by Sections 2.3(a) and 2.3(b)(ii) above shall be carried out by or on behalf of the Sponsor, at no expense to Xxxxxxx Mac. If the Sponsor fails to deliver to Xxxxxxx Mac any above-required documentation, Xxxxxxx Mac may order recorder-certified copies of the missing items that are recorded items, and the Sponsor shall reimburse Xxxxxxx Mac upon demand for all costs and expenses incurred by Xxxxxxx Mac in doing so.
Document Deliveries. The Administrative Agent shall have received the following documents, with sufficient copies for each Lender:
(i) Either (A) a counterpart of this Agreement signed on behalf of each party hereto or (B) written evidence satisfactory to the Administrative Agent (which may include telecopy transmission of an executed signature page of this Agreement) that each such party has signed a counterpart of this Agreement;
(ii) A WC Note payable to the WC Lender and a Term Note payable to each Term Lender, each in the principal amount of such Lender's Loans, dated the date of this Agreement, and signed on behalf of the Borrower;
(iii) A Security Agreement, dated the date of this Agreement and signed on behalf of the Borrower, together with the following:
(A) all instruments and other documents, including Uniform Commercial Code financing statements, required by law or reasonably requested by the Administrative Agent (or the Administrative Agent's counsel) to be filed, registered or recorded to create or perfect the Liens intended to be created under the Security Agreement; and
(B) a completed Perfection Certificate, dated the date of this Agreement and signed by an Officer of the Borrower, together with all attachments contemplated thereby, including the results of a search of the Uniform Commercial Code (or equivalent) filings made with respect to the Borrower in the jurisdictions contemplated by the Perfection Certificate and copies of the financing statements (or similar documents) disclosed by such search and evidence reasonably satisfactory to the Administrative Agent (and its counsel) that the Liens indicated by such financing statements (or similar documents) are permitted by Section 7.02 or have been released;
(iv) Counterparts of a Mortgage with respect to the Mortgaged Property signed on behalf of the record owner of such Mortgaged Property, together with: (A) a policy or policies of title insurance issued by a nationally recognized title insurance company, insuring the Lien of such Mortgage as a valid first Lien on the Mortgaged Property described therein, free of any other Liens except as permitted by Section 7.02, in form and substance reasonably acceptable to the Administrative Agent and the Administrative Agent's counsel, together with such endorsements, coinsurance and reinsurance as the Administrative Agent may reasonably request, (B) such surveys as may be required pursuant to such Mortgage or as the Administrative Agent may reasonably request, (C) a...
Document Deliveries. The Anderson Parties shall have delivxxxx xx caused to be delivered to Highwoods the documents, instruments and other items referred to in Article VIII above.
Document Deliveries. Agent shall receive the following documents, each in form and substance satisfactory to the Agent:
(i) This Amendment, in four (4) fully executed original counterparts; and
(ii) True and complete copy of the Purchase Agreement.
