Common use of Documents to be Given to the Trustee Clause in Contracts

Documents to be Given to the Trustee. Before the execution thereof, the Trustee shall receive, in addition to the documents required by Section 10.10, one or more Officers’ Certificates of the Issuer and one or more Opinion(s) of Counsel each stating and as conclusive evidence that any amendment, supplement or waiver complies with the applicable provisions of this Indenture and any conditions relating thereto and is the legal, valid and binding obligation of the Issuer and the Guarantors enforceable in accordance with its terms.

Before the execution thereof, the Trustee shall receive, in addition to the documents required by Section 10.10, one or more Officers’ Certificates Certificate(s) of the Issuer and one or more Opinion(s) of Counsel each stating and as conclusive evidence that any amendment, supplement or waiver complies with the applicable provisions of this Indenture and any conditions relating thereto and is the legal, valid and binding obligation of the Issuer and the Guarantors enforceable in accordance with its termsauthorized or permitted by this Indenture.
