Due Diligence Expiration Date. The Due Diligence Expiration Date under Section 1.36 of the Purchase Agreement is hereby changed from November 18, 2013, to November 19, 2013. As a consequence, the Due Diligence Period under the Purchase Agreement shall end at 5:00 p.m. Hawaii Standard Time on November 19, 2013.
Due Diligence Expiration Date. The definition of the term “Due Diligence Period” in Section 6.4 of the Purchase Agreement is hereby amended by deleting “June 30, 2011” and inserting “July 8, 2011” in lieu thereof.
Due Diligence Expiration Date. The phrase “On or before July 30, 2015” in Section 3(b) of the Agreement is hereby deleted and is replaced with the following: “On or before July 31, 2015”.
Due Diligence Expiration Date. The date which is thirty (30) business days after the Effective Date. Due Diligence Period. The period commencing on the Effective Date (or earlier if Purchaser has previously entered on, or conducted investigations concerning, the Property) and continuing until the Due Diligence Expiration Date. Xxxxxxx Money. Cash in the amount of One Million and 00/100 Dollars ($1,000,000.00) (defined in Section 2.2(a) below as the “Deposit”).
Due Diligence Expiration Date. Section 6.4 of the Purchase Agreement is hereby amended by deleting "Subject to Section 21 below, Buyer shall have twenty-five (25) Business Days from and after the later to occur of (i) the Opening of Escrow and (ii) the date of delivery by Seller to Buyer of the Seller's Deliveries, the Title Commitment and related recorded exception documents, and any existing survey (“Due Diligence Period”)" and inserting "Buyer shall have until 5:00 p.m. Eastern time on December 11, 2012 (“Due Diligence Period”)" in lieu thereof.
Due Diligence Expiration Date. The Due Diligence Expiration Date is hereby extended to November 22, 2013; provided, however, that from and after the date hereof, the only reason for which Purchaser shall have the right to deliver the Termination Notice shall be in connection with its review and approval of the Phase I environmental report obtained by Purchaser with respect to the Property and the environmental matters that may be disclosed therein, which review and approval shall be subject to Purchaser’s sole and absolute discretion. For the avoidance of doubt, the foregoing shall not be deemed to extend the Outside Authorization Date, which shall be as set forth in the Original Purchase Agreement.
Due Diligence Expiration Date. The Due Diligence Expiration Date shall have passed without the Purchaser having terminated this Agreement pursuant to Section 9.01(c). Notwithstanding anything contained herein to the contrary, if the parties to the Real Estate Agreement shall consummate the transactions contemplated by the Real Estate Agreement, unless this Agreement shall have been terminated prior to such consummation pursuant to Article IX, MCRLP and the Purchaser shall be deemed to have automatically waived all such conditions to Closing contained in this Article VII, provided, however, the Purchaser shall retain any and all rights it shall otherwise have under this Agreement, including without limitation the Purchaser’s rights and remedies under Article VIII.
Due Diligence Expiration Date. The Due Diligence Expiration Date is hereby extended to November 15, 2013. For the avoidance of doubt, the foregoing shall not be deemed to extend the Outside Authorization Date or the Outside OTA Date, both of which shall be as set forth in the Original Purchase Agreement.
Due Diligence Expiration Date. 5:00 p.m. (Los Angeles Time) on the date that is fifteen (15) days after the Effective Date.
Due Diligence Expiration Date. 11:59pm Eastern Time on the date that is twenty-one (21) days after the Effective Date.
